Common use of Governmental Consent Clause in Contracts

Governmental Consent. No order, consent, approval, license, authorization or validation of, or filing, recording or registration with, or exemption by, any Governmental Authority is required on the part of the Company or any Subsidiary to authorize, or is required in connection with, the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documents.

Governmental Consent. No order, consent, approval, license, approval order or authorization or validation of, or filingregistration, recording qualification, designation, declaration or registration withfiling with any federal, state or exemption by, any Governmental Authority is required local governmental authority on the part of the Company or any Subsidiary to authorize, or is required in connection with, with the execution, delivery and performance of, or consummation of the legality, validity, binding effect or enforceability of, the Loan Documentstransactions contemplated by this Agreement.

No order, consent, approval, license, approval or authorization or validation of, or filing, recording registration or registration qualification with, or exemption by, any Governmental Authority is or will be necessary or required on the its part of the Company or any Subsidiary to authorize, or is required in connection withwith the execution and delivery of this Agreement, except for any such consents, approval and authorizations that have been obtained, and all filings that have been made, on or prior to the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan DocumentsClosing Date.

No order, consent, approval, license, order or authorization or validation of, or filingregistration, recording declaration or registration filing with, any court, administrative agency or exemption by, any Governmental Authority commission or other governmental authority is required on by or with respect to QUEST in connection with the part execution and delivery of this Agreement or the consummation by QUEST of the Company or any Subsidiary to authorize, or is required in connection with, the execution, delivery and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documentstransactions contemplated herein.

No order, consent, approval, license, order or authorization or validation of, or filingregistration, recording declaration or registration filing with, any court, administrative agency or exemption bycommission or other governmental authority or instrumentality ("Governmental Entity"), any Governmental Authority is required on by or with respect to Eden in connection with the part execution and delivery of this Agreement or the consummation of the Company or any Subsidiary to authorizetransactions contemplated hereby, or is except for such consents, approvals, orders, authorizations, registrations, declarations and filings as may be required in connection with, the execution, delivery under applicable state and performance of, or the legality, validity, binding effect or enforceability of, the Loan Documentsfederal securities laws.

Governmental Consent. No order, consent, approval, license, approval or authorization or validation of, or filing, recording registration or registration qualification with, any governmental agency, authority, instrumentality or exemption by, any Governmental Authority is required regulatory body on the part of the Company or any Subsidiary to authorize, or Borrower is required in connection with, conjunction with the execution, delivery and or performance ofby the Borrower, or for the legalityvalidity or enforceability, validity, binding effect or enforceability of, of the Loan Documents.
