Common use of GRANT OF RIGHT OF ACCESS Clause in Contracts

GRANT OF RIGHT OF ACCESS. FOR THE CHANNELS/ BOUQUET(S), AS THE CASE MAY BE TO DEN’S CABLE TELEVISION NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN to carry the Channel(s) and pursuant to the said request, the DEN has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DEN’s Cable Television Networks on its addressable system. (b) DEN hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN and other necessary conditions shall form part of this Agreement.

FOR THE CHANNELS/ BOUQUET(S), AS THE CASE MAY BE TO DENRADIANT’S CABLE TELEVISION CABLETELEVISION NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN RADIANT to carry the Channel(s) and pursuant to the said request, the DEN RADIANT has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DENRADIANT’s Cable Television Networks on its addressable system. (b) DEN RADIANT hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures Annexure C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN RADIANT and other necessary conditions shall form part of this Agreement.

FOR THE CHANNELS/ BOUQUET(S), AS THE CASE MAY BE TO DENDELINET’S CABLE INTERNET PROTOCOL TELEVISION (IPTV) NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN Delinet to carry the Channel(s) and pursuant to the said request, the DEN Delinet has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-re- transmitting and re-distributing the Channel/s Channel(s) in the Areas through DENDelinet’s Cable Television Networks on its addressable systemsystem and/or via IPTV. (b) DEN Delinet hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks and/or IPTV subject to, inter alia, technical and commercial parameters set out herein after in Annexures hereinafter as Annexure C and Annexure D respectively respectively, of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN Delinet and other necessary conditions shall form part of this Agreement.

FOR THE CHANNELS/ BOUQUET(S), AS THE CASE MAY BE TO DENTRIPLE PLAY’S CABLE TELEVISION NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN TRIPLE PLAY to carry the Channel(s) and pursuant to the said request, the DEN TRIPLE PLAY has agreed to agreedto carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DENTRIPLE PLAY’s Cable Television Networks on its addressable system. (b) DEN TRIPLE PLAY hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. GRANT OF RIGHT OF ACCESS. FOR THE CHANNELS/ CHANNELS / BOUQUET(S), AS THE CASE MAY BE TO DEN’S CABLE TELEVISION NETWORKSPIMPRI CHINCHWAD MEDIA COMMUNICATION PRIVATE LIMITD. (a) By and under this reference interconnect offer, the Broadcaster has approached DEN PCMCPL to carry the Channel(s) and pursuant to the said request, the DEN PCMCPL has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DENPCMCPL’s Cable Television Networks Pimpri Chinchwad Communication Pvt. Ltd on its addressable system. (b) DEN PCMCPL hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I I, read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN PCMCPL and other necessary conditions shall form part of this Agreement. INTERPRETATION: In the interpretation of this Agreement, unless the context requires otherwise: (a) The headings herein are used for convenience only and shall not affect the construction of this Agreement. (b) The references to Annexure are references respectively to the annexure to this Agreement. (c) The reference to the singular includes reference to plural and vice versa. (d) The reference to any gender includes a reference to all othergenders.

FOR THE CHANNELS/ CHANNELS / BOUQUET(S), AS THE CASE MAY BE TO DENDEN SATELLITE’S CABLE TELEVISION NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN SATELLITE to carry the Channel(s) and pursuant to the said request, the DEN SATELLITE has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DENDEN SATELLITE’s Cable Television Networks on its addressable system. (b) DEN SATELLITE hereby agrees to carry the Channel(s) of the Broadcaster on its onits Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures Annexure C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN SATELLITE and other necessary conditions shall form part of this Agreement.

GRANT OF RIGHT OF ACCESS. FOR THE CHANNELS/ BOUQUET(S), AS THE CASE MAY BE TO DENSANJAY CABLE’S CABLE TELEVISION NETWORKS (a) By and under this reference interconnect offer, the Broadcaster has approached DEN XXXXXX XXXXX to carry the Channel(s) and pursuant to the said request, the DEN XXXXXX XXXXX has agreed to carry the Channels of the Broadcaster on 24x7 on “as is received” basis for the sole purpose of re-transmitting and re-distributing the Channel/s in the Areas through DENSANJAY CABLE’s Cable Television Networks on its addressable system. (b) DEN XXXXXX XXXXX hereby agrees to carry the Channel(s) of the Broadcaster on its Cable Television Networks subject to, inter alia, technical and commercial parameters set out herein after in Annexures C and D respectively of this Agreement. (c) The Carriage Fee amount, for each month or part thereof, during the term of this Agreement shall be calculated as per the sub-regulation (1) of the regulation 8 of The Telecommunication (Broadcasting and Cable) Services Interconnection (Addressable Systems) Regulations, 2017 (“Regulation”), in accordance with Schedule I read with Schedule VII set out therein and provided in Annexure D hereto. (d) As required under the Regulation, the conditions relating to, including but not limited to, target market, rate of carriage fee per month, average active subscriber base of standard definition set top boxes and high definition set top boxes at the time of publication of this RIO, discounts, if any, offered on the rate of carriage fee, manner of calculation of Carriage Fee payable to DEN SANJAY CABLE and other necessary conditions shall form part of this Agreement.
