Grant of the Facilities. The Xxxxx xxxxx to the Borrowers, upon the terms and subject to the conditions hereof:

Grant of the Facilities. Upon the terms and subject to the conditions hereof, the Revolving Banks grant to the Borrowers the Revolving Facility and thx Xxxx Xxxxx xxxxx to the Post-Novation Borrower the Term Facilitx, xx xxxx case, as the same may be reduced in accordance with the terms hereof PROVIDED THAT no Borrower organised under the laws of any state of the United States of America may borrow any amount under the Revolving Facility unless NTL Holdings gives its prior written consent to such borrowing.

Grant of the Facilities. The Lenders grant to the Borrower, upon the terms and subject to the conditions hereof: (a) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,894,000 (the “Facility 1”); (b) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,180,000 (the “Facility 2”); (c) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,339,500 (the “Facility 3”); (d) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,339,500 (the “Facility 4”), and (e) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 1,227,000 (the “Facility 5”), (f) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,894,000 (the “Facility I”); (g) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,180,000 (the “Facility II”); (h) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,339,500 (the “Facility III”); (i) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 16,339,500 (the “Facility IV”), and (j) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 1,227,000 (the “Facility V”), in aggregate, however, not exceeding EUR 133,960,000.

Grant of the Facilities. The Lenders grant to the Borrowers, upon the terms and subject to the conditions hereof: (a) a multicurrency term loan facility in an aggregate amount the Base Currency Amount of which is equal to the Total Term Facility Commitments; (b) a multicurrency revolving credit facility in an aggregate amount the Base Currency Amount of which is equal to the Total Revolving Facility Commitments; and (c) a multicurrency term loan bridge facility in an aggregate amount the Base Currency Amount of which is equal to the Total Bridge Facility Commitments.

Grant of the Facilities. The Banks grant to the Borrowers, upon the terms and subject to the cxxxxxxxxx xereof: 2.1.1 a multicurrency revolving credit facility in an aggregate amount of US$500,000,000 or its equivalent from time to time in Euros ("Facility A"); 2.1.2 a multicurrency revolving credit facility in an aggregate amount of US$1,500,000,000 or its equivalent from time to time in Euros ("Facility B"); and 2.1.3 a multicurrency letter of credit facility in an aggregate amount of US$150,000,000 or its equivalent from time to time in Euros ("Facility C").

Grant of the Facilities. The Lenders grant to the Borrower, upon the terms and subject to the conditions hereof: (a) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 27,119,313 (the "Facility I"); (b) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 31,995,220 (the "Facility II"); and (c) a euro denominated term loan facility in a maximum aggregate amount of up to EUR 885,467 (the "Facility III"); in aggregate, however, not exceeding EUR 60,000,000.

Grant of the Facilities. 2.1.1 The Xxxxx xxxxx to the Borrower, who accepts, upon the terms and subject to the conditions hereof, a multicurrency term loan facility in an aggregate amount of up to $ 2,750,000,000 (the "TERM FACILITY"); and 2.1.2 the Xxxxx xxxxx to the Borrower, who accepts, upon the terms and subject to the conditions hereof a multicurrency revolving credit facility in an aggregate amount of up to $2,250,000,000 (THE "REVOLVING FACILITY").

Grant of the Facilities. Upon the terms and subject to the conditions hereof, the following facilities are granted to the Borrower: (a) a sterling term loan facility by the Term Banks in an aggregate amount of Pound Sterling85,000,000; and (b) a sterling overdraft facility by the Overdraft Bank in an aggregate amount of Pound Sterling5,000,000.

Grant of the Facilities. The Lenders hereby grant to the Borrower, upon the terms and subject to the conditions hereof: 2.1.1 a senior amortising term loan A facility in an aggregate principal amount of USD 3,560,000; 2.1.2 a senior amortising term loan B facility in an aggregate principal amount of USD 29,490,000; and 2.1.3 a revolving loan facility in an aggregate principal amount of USD 5,000,000.

Grant of the Facilities. The Xxxxx xxxxx to the Borrowers, upon the terms and subject to the conditions hereof: 2.1.1 a term loan facility in an aggregate amount of up to (pounds sterling)28,000,000 (THE "TERM A FACILITY"); 2.1.2 a term loan facility in an aggregate amount of up to (pounds sterling)12,500,000 (THE "TERM B FACILITY"); and 2.1.3 a revolving loan in an aggregate amount of up to (pounds sterling)5,000,000 (THE "REVOLVING FACILITY").
