GRANT OF USE AND RELOCATION. (a) Subject to the terms and conditions herein, EPI hereby grants to Licensee, and its successors and permitted assigns, a non-exclusive right and license to (i) use the Technology for the Specified Applications at the Licensee Facility and (ii) operate the RTP(TM) Equipment originally constructed for use at the Licensee Facility for the Specified Applications, as of the date herein, for the Term. This Site License shall continue in full force and effect in accordance with its terms and cannot be terminated except in accordance with Article 2 of this Site License. (b) Licensee shall not relocate the RTP(TM) Equipment at the Licensee Facility without the written consent of EPI. In the event the Licensee wishes to relocate the RTP(TM) Equipment, Licensee shall give sixty (60) days written notice to EPI of the location within the Territory to which the Licensee wishes to relocate the RTP(TM) Equipment. In no event shall relocation be made outside the Territory. Within thirty (30) days of its receipt of such notice, EPI shall provide its consent or the reasons for its failure to consent to such relocation. In the event that EPI consents to such relocation, Licensee may utilize its own resources or may utilize other contractors to perform such relocation. Upon relocation of the RTP(TM) Equipment: (i) any reference to the Licensee Facility in this Site License shall be deemed to refer to such new location and (ii) the right and license granted in the foregoing shall be transferred from the previous location of the RTP(TM) Equipment and shall apply to such new location. (c) With the exception of Section 3.1(a), any reference in this Site License to "use" of the Technology shall be deemed to include use of the Technology and the Technology Improvements for the Specified Applications and operation of the RTP(TM) Equipment as described in Section 3.1(a).

  • LEAST RESTRICTIVE ENVIRONMENT/DUAL ENROLLMENT CONTRACTOR and XXX shall follow all LEA policies and procedures that support Least Restrictive Environment (“LRE”) options and/or dual enrollment options if available and appropriate, for students to have access to the general curriculum and to be educated with their nondisabled peers to the maximum extent appropriate. CONTRACTOR and XXX shall ensure that LRE placement options are addressed at all IEP team meetings regarding students for whom ISAs have been or may be executed. This shall include IEP team consideration of supplementary aids and services, goals and objectives necessary for placement in the LRE and necessary to enable students to transition to less restrictive settings. When an IEP team has determined that a student should be transitioned into the public school setting, CONTRACTOR shall assist the LEA in implementing the IEP team’s recommended activities to support the transition.

  • Commencement of Final Design This contract does not obligate the State to proceed with final design for any alternative. On completion of environmental documentation, the State will consider all reasonable alternatives in a fair and objective manner. Notwithstanding anything contained elsewhere in the contract or in any work authorization, the Engineer may not proceed with final design until after all relevant environmental decision documents have been issued.

  • EMPLOYMENT ASSISTANCE I understand that the College has not made and will not make any guarantees of employment or salary upon my graduation. The College will provide me with placement assistance, which will consist of identifying employment opportunities and advising me on appropriate means of attempting to realize these opportunities. I authorize HCI College’s representatives to contact potential employers for the purpose of advocating on my behalf and release my name and job application materials, including, but not limited to, my cover letter, resume, and transcript to prospective employers. I authorize HCI College and its third-party vendors to contact my employer to verify pertinent employment information for my graduate record.

  • Commencement of Services The Services will be commenced immediately upon receipt of the signed Proposal (the “Agreement”). If after commencement of the Services, the Project is delayed for any reason beyond Xxxxxxxxx’x control for more than 60 days, the terms and conditions contained herein will be subject to revision by Xxxxxxxxx. Subsequent modifications to this Agreement must be in writing and signed by the parties to the Agreement.

  • Assistance by COUNTY STAFF 1.3.1. County shall assign an appropriate staff member to work with A-E in connection with the work of this Contract. Said staff member's duties will consist of the giving of advice and consultations, assisting A-E in negotiations with other public agencies and private parties, miscellaneous items which in the judgment of A-E or County's staff warrant attention, and all other duties as may be described in Attachment A. 1.3.2. All of the above activities, however, shall be the primary responsibility of A-E to schedule, initiate and carry through to completion.

  • Exclusive Employment During employment with the Company, Executive will not do anything to compete with the Company’s present or contemplated business, nor will he plan or organize any competitive business activity. Executive will not enter into any agreement which conflicts with his duties or obligations to the Company. Executive will not during his employment or within one (1) year after it ends, without the Company’s express written consent, directly or indirectly, solicit or encourage any employee, agent, independent contractor, supplier, customer, consultant or any other person or company to terminate or alter a relationship with the Company.
