GRANT TERMINATION. The initial term of this Grant shall commence on 07/01/2023 and shall continue in effect until 06/30/2024 unless terminated sooner pursuant to the provisions of this Agreement.
GRANT TERMINATION. The Company hereby grants to the Participant Options to purchase a total of Fifteen Thousand (15,000) shares of Common Stock of the Company, exercisable as provided in the vesting schedule set forth in Section 4 below at Two Dollars ($2.00) per share (the “Option Price”). These Options shall terminate 12 months after the Participant’s death or total disability, or ten years from the Award Date.
GRANT TERMINATION. This grant may be terminated by ALSF upon written notice to Sponsoring Institution and authorized institutional representative at the Sponsoring Institution if a) the Recipient is unable to carry out the research for any reason; b) the Recipient or any member of their research team is found by an institutional investigation to have committed scientific misconduct or fraud; c) the Recipient has failed to comply with any of the terms and conditions of this award; d) ALSF has determined that the Recipient has received overlap funding for the award or that the funds are not being used for the purposes originally outlined in the approved grant; or e) the IRB and/or IACUC approval for the grant has been rescinded or has not been renewed.
GRANT TERMINATION. The Company hereby grants to the Optionee Options to purchase a total of 2,000,000 shares of Common Stock of the Company, exercisable as provided in the Exercise Schedule set forth in Section 5 below at $1 per share (the “Exercise Price”). These Options shall terminate immediately upon Optionee’s termination of employment by the Company for Cause; twelve months after the Optionee’s termination of employment by the Company for other than Cause or voluntary termination of employment by Optionee; 12 months after the Optionee’s death or total disability; or ten years from the Award Date. For purposes of this Award Agreement, the term “Cause” means engaging in any activity adverse, contrary or harmful to the interests of the Company, including, but not limited to: (i) conduct related to the Optionee’s employment for which either criminal or civil penalties have been awarded against the Optionee, (ii) violation of Company policies, including, without limitation, the Company’s discrimination, harassment or xxxxxxx xxxxxxx policies, (iii) accepting employment with or serving as a consultant, advisor or in any other capacity to an entity that is, or proposes to be, in competition with or acting against the interests of the Company, including employing or recruiting any present, former or future employee of the Company
GRANT TERMINATION. The initial term of this Grant shall commence on July 1, 2021 and shall continue in effect until Grantee to abide by any law, rule, procedure or policy that Grantee has received notice from either DCF or the State of Kansas; the inability to submit a valid Kansas Certificate of Tax Clearance for Grantee from the Kansas Department of Revenue; Grantee or any of its employees is found to be debarred or suspended. In the event DCF terminates this grant for cause, Grantee will be provided written notice of the reasons therefore.
GRANT TERMINATION. CHCF, at its sole option, may terminate the grant at any time if, in CHCF’s judgment, the grantee becomes unable to carry out the purposes of the grant, ceases to be an appropriate means
GRANT TERMINATION. Foundation, in its sole discretion, may terminate this Agreement if (i)Grantee ceases to be exempt from Federal income taxation under IRC 501(c)(3);
GRANT TERMINATION. Foundation, in its sole discretion, may terminate this Agreement if (i)Grantee ceases to be exempt from Federal income taxation under IRC 501(c)(3); (ii) Grantee's status as not a private foundation under IRC 509(a) is materially altered; (iii) in Foundation's judgment, Grantee becomes unable (or is likely to become unable due to the loss of key personnel or otherwise) to carry out the purposes of the Grant, ceases to be an appropriate means of accomplishing the purposes of the Grant, or fails to comply with any of the terms of this Agreement; or (iv) Grantee is dissolved, fails to operate, or violates the purpose for which funds are granted due to misuse or misapplication of funds. The right to terminate includes the right to suspend payment. If this Grant is terminated prior to the scheduled completion date, Grantee shall, upon request by Foundation and in addition to its other obligations under this Agreement, promptly provide to Foundation a full accounting of the receipt and disbursement of funds under the Grant as of the effective date of termination. The Grantee shall promptly repay all grant funds unexpended as of the effective date of termination and all grant funds expended for purposes or items allocable to the period of time after the effective date of termination. Nothing contained in this paragraph shall limit or prevent Foundation from taking legal action to obtain repayment of funds already expended by Grantee which were not applied in accordance with the terms of this Agreement.
GRANT TERMINATION. If the Fund determines, in its sole discretion, that Grantee has substantially violated or failed to carry out any provision of this Agreement, including but not limited to failure to submit reports when due, the Fund may, in addition to any other legal remedies it may have, refuse to make any further grant payments to Grantee under this or any other grant agreement, and the Fund may demand the return of al 1 or part of the unexpended grant funds, which Grantee shall immediately repay to the Fund. The Fund may also avail itself of any other remedies available by law.
GRANT TERMINATION. It is expressly agreed that any use by you of the grant proceeds for any purposes other than those specified in Section 170(c)(2)(B) of the Internal Revenue Code will terminate our obligation to make further payments under the grant. At our sole option, we may terminate the grant at any time if, in our judgment, you become unable to carry out the purposes of the grant, cease to be an appropriate means of accomplishing the purposes of the grant or fail to comply with any of the conditions hereof. If the grant is terminated prior to the scheduled completion date, upon our request, you shall provide us a full accounting of the receipt and disbursement of funds and expenditures incurred under the grant as of the effective date of termination.
