Grantor and Acknowledging Affiliate Consent. (i) The Grantors and Acknowledging Affiliates consent to the performance by the Term Loan Agent of the obligations set forth in this Section 3.04 and acknowledge and agree that neither the Term Loan Agent nor any other Term Loan Secured Party, shall ever be liable for any action taken or omitted by the Intermediation Facility Representative, the Renewables Intermediation Facility Representative, any other Intermediation Facility Secured Party or any other Renewables Intermediation Facility Secured Party, or any of their respective officers, employees, agents successors or assigns in connection therewith or incidental thereto or in consequence thereof, including any improper use or disclosure of any proprietary information or other Intellectual Property by the Intermediation Facility Secured Parties, the Renewables Intermediation Facility Secured Parties or their respective officers, employees, agents, successors or assigns or any other damage to or misuse or loss of any property of the Grantors as a result of any action taken or omitted by the Intermediation Facility Secured Parties, the Renewables Intermediation Facility Secured Parties or any of their respective officers, employees, agents, successors or assigns.
