Grants from Genzyme. Except as otherwise expressly provided herein, Genzyme will grant to Kallikrein LLC on the LLC Formation Date a worldwide, exclusive, royalty-free right and sublicense during the term of this Agreement, with the right to grant further sublicenses, under the Genzyme Patent Rights, Genzyme Technology, Joint Patent Rights and the Joint Technology and any Manufacturing Know-How owned or held by Genzyme to develop, make, have made, use, offer for sale, sell, have sold, import and export Collaboration Products in the Field.

Grants from Genzyme. Except as otherwise expressly provided ------------------- herein, Genzyme hereby grants to BioMarin/Genzyme LLC a worldwide, exclusive, royalty-free right and license during the term of this Agreement under the Genzyme Patent Rights, Genzyme Technology, BioMarin/Genzyme Patent Rights and the BioMarin/Genzyme Technology and Manufacturing Know-How Controlled by Genzyme to develop, make, have made, use, offer for sale, sell, have sold, import and export Collaboration Products for use in the Field and in the Territory.
Grants from Genzyme. Except as otherwise expressly provided herein, Genzyme hereby grants to Aptein a non-exclusive, irrevocable (except as provided in Section 13.3 below), royalty-free right and license in the Field and in the Territory under Genzyme’s interest in the Genzyme Patent Rights, the Genzyme Program Patent Rights, the Genzyme Technology, and the Manufacturing Know-How owned or controlled by Genzyme solely to the extent necessary to permit Aptein to perform its duties under this Agreement. The foregoing license shall include the right to grant sublicenses to an Affiliate of Aptein solely for the purposes of permitting such Affiliate to perform duties allocated to Aptein under a Development or Commercialization Plan, provided that such Affiliate shall not have the right to grant further sublicenses.
Grants from Genzyme. Except as otherwise expressly provided herein, Genzyme hereby grants to RenaGel LLC the exclusive, irrevocable (during the term of this Agreement), royalty-free right and license, with the right to grant sublicenses, under the Genzyme Patent Rights, the Genzyme Technology and the Manufacturing Know-How owned or controlled by Genzyme, to develop, make, have made, use, offer for sale, sell, have sold, import and export Collaboration Products for use in the Territory in the Field.

Except as otherwise expressly provided herein, Genzyme hereby grants to ATIII LLC an exclusive, irrevocable (during the term of this Agreement), royalty-free right and sublicense, with the right to grant further sublicenses, under the Genzyme/GTC Patent Rights and the Genzyme/GTC Technology and any associated Technology and Manufacturing Know-How owned or controlled by Genzyme to develop, make, have made, use, offer for sale, sell, have sold, import and export Collaboration Products for use in the Field and in the Territory.

  • Limitation on Rights; No Right to Future Grants; Extraordinary Item of Compensation By entering into this Agreement and accepting the Performance Stock Units evidenced hereby, the Participant acknowledges: (i) that the Plan is discretionary in nature and may be suspended or terminated by the Company at any time; (ii) that the Award does not create any contractual or other right to receive future grants of Awards; (iii) that participation in the Plan is voluntary; (iv) that the value of the Performance Stock Units is not part of normal or expected compensation for purposes of calculating any severance, resignation, redundancy, end of service payments, bonuses, long-service awards, pension or retirement benefits or similar payments; and (v) that the future value of the Common Stock is unknown and cannot be predicted with certainty.

  • Vesting Generally LTIP Units may, in the sole discretion of the General Partner, be issued subject to vesting, forfeiture and additional restrictions on Transfer pursuant to the terms of an award, vesting or other similar agreement (a “Vesting Agreement”).
