Guarantee to Rank Pari Passu. All obligations under this Agreement of such Guarantor are and at all times shall remain direct and unsecured obligations of such Guarantor ranking pari passu as against the assets of such Guarantor with all other present and future unsecured Debt (actual or contingent) of such Guarantor which is not expressed to be subordinate or junior in rank to any other unsecured Debt of such Guarantor.
