Guaranteed Parameters 13. 2.1 The Supplier guarantees that the Deliveries will meet the Guaranteed Parameters in accordance with Appendix No. 1 to the Contract. 13.2.2 The Guaranteed Parameters shall be subject to measurements during Performance Testing. 13.2.3 If due to the reasons attributable to the Supplier the measurements demonstrate that the Deliveries are not compliant with the Guaranteed Parameters, the following procedure shall apply: a) The Employer will have the right to charge the contractual penalties referred to in Art. 14.2.6 of the Contract; b) The Supplier will perform corrective actions in order to make the Deliveries compliant with the Guaranteed Parameters; 13.2.4 Once the corrective actions referred to in Art. 13.2.3. b) above are performed, the Supplier shall notify the Employer about the readiness of the Deliveries for repeated measurements of the Guaranteed Parameters within a period not longer than 30 (say: thirty) days from the date of performance of the first measurements of the Guaranteed Parameters or in a longer period if agreed on with the Employer. 13.2.5 If the repeated measurements show that the Deliveries are complaint with the Guaranteed Parameters, the Supplier shall be released from the obligation to pay the contractual penalties referred to in Art. 14.2.6 of the Contract. 13.2.6 If the repeated measurements show for the third time that the Deliveries are not

  • LENGTH OF PRICE GUARANTEE Discount percentages shall be firm for the term of the contract.

Without limiting the generality of the foregoing, the Guaranteed Obligations shall include any such indebtedness, obligations, and liabilities, or portion thereof, which may be or hereafter become unenforceable or compromised or shall be an allowed or disallowed claim under any proceeding or case commenced by or against any debtor under any Debtor Relief Laws. The Administrative Agent’s books and records showing the amount of the Obligations shall be admissible in evidence in any action or proceeding, and shall be binding upon each Guarantor, and conclusive for the purpose of establishing the amount of the Secured Obligations. This Guaranty shall not be affected by the genuineness, validity, regularity or enforceability of the Secured Obligations or any instrument or agreement evidencing any Secured Obligations, or by the existence, validity, enforceability, perfection, non-perfection or extent of any collateral therefor, or by any fact or circumstance relating to the Secured Obligations which might otherwise constitute a defense to the obligations of the Guarantors, or any of them, under this Guaranty, and each Guarantor hereby irrevocably waives any defenses it may now have or hereafter acquire in any way relating to any or all of the foregoing.

  • Warranty/Guarantee 14.1.1 Developer shall obtain and preserve for the benefit of the District, manufacturer’s warranties on materials, fixtures, and equipment incorporated into the Work.
