Guarantor Breach. A breach by Guarantor of any material representation, warranty or covenant set forth in the Guaranty or any other Program Agreement, any “event of default” by Guarantor under the Guaranty, any repudiation of the Guaranty by Guarantor, or if the Guaranty is not enforceable against Guarantor.

Guarantor Breach. The breach by Guarantor of the covenants made by it in Article V(i) (Limitation on Distributions) or Article V(k) (Financial Covenants) of the Guaranty.

Guarantor Breach. A breach by Guarantor of any material representation, warranty or covenant set forth in the PMT Guaranty or any other PMH Document if such breach is not cured within thirty (30) days, any “event of default” by Guarantor under the PMH Guaranty, any repudiation of the PMT Guaranty by Guarantor, or if the PMT Guaranty is not enforceable against Guarantor.
Guarantor Breach. The breach by Guarantor of the net worth and/or liquidity covenants made by it in the Guaranty and the same continues beyond the expiration of any applicable cure periods.
Guarantor Breach. A breach by the Guarantor of any material representation, warranty or covenant set forth in the Guaranty or any other Program Agreement, any material breach or default by the Guarantor under the Guaranty, any repudiation of the Guaranty by the Guarantor, or if the Guaranty is not enforceable against the Guarantor. Notwithstanding anything to the contrary in the Events of Default listed above, with respect to an Additional Seller, an Event of Default shall not be deemed to have occurred if (i) such Additional Seller or the other Sellers have repurchased the Purchased Mortgage Loans sold by such Additional Seller pursuant to the terms and conditions set forth herein and (ii) such Additional Seller has been removed as a Seller hereunder and under the other Program Agreements, in each case within two (2) Business Days following notice from the Buyer to the Sellers or any Seller’s or the Guarantor’s knowledge thereof. Each Additional Seller hereby agrees that it may be removed as a Seller hereunder by Buyer, the other Sellers and the Guarantor upon the occurrence and during the continuation of any event or circumstance that would otherwise result in the occurrence of an Event of Default hereunder but for the application of this provision. An Event of Default shall be deemed to be continuing unless expressly waived by the Buyer in writing.
