Handback Condition. ‌ 5.9.1.1 Upon the Termination Date, Developer shall transfer the Project, including any Upgrades, to the Department, at no charge to the Department, in the condition and meeting all of the requirements set forth in Section 5 of Division II (“Handback Requirements”). 5.9.1.2 In the event of the earlier termination of this Agreement, Developer shall only be required to comply with the requirements of this Section 5.9 to the extent that any Renewal Work was scheduled to have been performed prior to the Early Termination Date.
