Handling of Documents. Until the Closing, AACA shall keep --------------------- confidential all information provided by PAG or the PAG Physicians pursuant to this Agreement which is not in the public domain, and shall exercise the same care in handling such information as it would exercise with similar information of its own. If the Closing does not occur, AACA shall return all such documentation and keep the same confidential.
Handling of Documents. With respect to information provided by CHC pursuant to this Agreement prior to the Closing, Rx Medical and Acquisition Corp shall keep all such information confidential which is not in the public domain, except to the extent that such information (i) becomes generally available to the public other than as a result of a disclosure directly or indirectly by Rx Medical, (ii) was known by Rx Medical on a non- confidential basis prior to disclosure to Rx Medical by CHC pursuant to this Agreement or (iii) becomes available to Rx Medical on a non-confidential basis from a source (other than CHC) which is entitled to disclose the same, and to exercise the same care in handling such information as they would exercise with similar information of their own.
