Common use of Harmless Clause Clause in Contracts

Harmless Clause. CSEA shall indemnify, defend, and hold the County Office harmless from any and all claims, demands, suits, or any other action arising from the organizational security provisions contained herein, including, but not limited to, to dues deductions made in reliance on CSEA’s certified list provided to the County Office pursuant to Article 2.1. CSEA shall have the exclusive right to decide and determine whether any such action shall be compromised, resisted, defended, tried or appealed.
