Common use of Hazardous Materials Handling Clause in Contracts

Hazardous Materials Handling. The Lessee shall, at its own expense, procure, maintain in effect and comply with all conditions of any and all permits, licenses and other governmental and regulatory approvals required for the Lessee's use of the Premises, including, without limitation, discharge of (appropriately treated) materials or wastes into or through any sanitary sewer serving the Premises. Except as discharged into the sanitary sewer in strict accordance and conformity with all applicable Hazardous Materials Laws, the Lessee shall cause any and all Hazardous Materials removed from the Premises to be removed and transported solely by duly licensed haulers to duly licensed facilities for final disposal of such materials and wastes. The Lessee shall in all respects handle, treat, deal with and manage any and all Hazardous Materials in, on, under or about the Premises in total conformity with all applicable Hazardous Materials Laws and prudent industry practices regarding management of such Hazardous Materials. Upon expiration or earlier termination of the term of the Lease, the Lessee shall cause all Hazardous Materials to be removed from the Premises and transported for use, storage or disposal in accordance and compliance with all applicable Hazardous Materials Laws. The Lessee shall not take any remedial action in response to the presence of any Hazardous Materials in or about the Premises or the Building, nor enter into any settlement agreement, consent, decree or other compromise in respect to any claims relating to any Hazardous Materials in any way connected with the Premises or the Building, without first notifying the Lessor of the Lessee's intention to do so and affording the Lessor ample opportunity to appear, intervene or otherwise appropriately assert and protect the Lessor's interest with respect thereto.

Upon expiration or earlier termination of the term of the Lease, the Lessee Tenant shall cause all Hazardous Materials to be removed from the Premises and transported for use, storage or disposal in accordance and compliance with all applicable Hazardous Materials Laws. The Lessee Tenant shall not take any remedial action in response to the presence of any Hazardous Materials in or about the Premises or the any Building, nor enter into any settlement agreement, consent, consent decree or other compromise in respect to any claims relating to any Hazardous Materials in any way connected with the Premises or the Building, without first notifying the Lessor Landlord of the LesseeTenant's intention to do so and affording the Lessor Landlord ample opportunity to appear, intervene or otherwise appropriately assert and protect the LessorLandlord's interest with respect thereto. In addition, at Landlord's request, Tenant shall remove any tanks or fixtures which contain or contained, or are contaminated with Hazardous Materials.

Except as discharged into the sanitary sewer in strict accordance and conformity with all applicable Hazardous Materials Laws, the Lessee Tenant shall cause any and all Hazardous Materials removed from the Premises to be removed and transported solely by duly licensed haulers to duly licensed facilities for final disposal of such materials and wasteswaste. The Lessee Tenant shall in all respects use, handle, treat, deal with and manage any and all Hazardous Materials in, on, under or about the Premises in total conformity with all applicable Hazardous Materials Laws and pursuant to prudent industry practices regarding management of such Hazardous Materialspractices. Upon expiration or earlier termination of the term of the Leasethis Lease or any extension thereof, the Lessee Tenant shall cause all Hazardous Materials to be removed from the Premises and transported for use, storage or disposal in accordance and in compliance with all applicable Hazardous Materials Laws. The Lessee Tenant shall not take any remedial action in response to the presence of any Hazardous Materials in in, about or about under the Premises or the Buildingany building, nor or enter into any settlement agreement, consent, consent decree or other compromise in respect to any claims relating to any Hazardous Materials in any way connected with the Premises or the BuildingPremises, without first notifying the Lessor Landlord of the LesseeTenant's intention to do so and affording the Lessor Landlord ample opportunity to appear, intervene or otherwise appropriately assert and protect the Lessor's Landlord’s interest with respect thereto.

The Lessee shall not take any remedial action in response to the presence of any Hazardous Materials in or about the Premises or the Building, nor enter into any settlement agreement, consent, decree or other compromise in respect to any claims relating to any Hazardous Materials in any way connected with the Premises or the Building, without first notifying the Lessor of the Lessee's intention to do so and affording the Lessor ample opportunity to appear, intervene or otherwise appropriately assert and protect the Lessor's interest with respect thereto. Notwithstanding anything to the contrary contained herein or in Section 5.4, Lessee shall be permitted to use and maintain products in the Premises which are incidental to the operation of its general office use, including, without limitation, computer servers, tower and laptop personal computers, computer monitors, cell phones, telecommunications wiring and cable, photocopy supplies, secretarial supplies and limited janitorial supplies, which products contain, or are manufactured with, chemicals which are categorized as Hazardous Materials, provided Lessee handles, stores and disposes of such materials in compliance with all applicable Hazardous Materials Laws. Lessor and Lessee acknowledge that Lessor has provided Lessee, prior to Lessee’s execution of this Lease with a copy of the Phase I environmental report completed by AES Due Diligence, Inc., dated October 26, 2017.
