Health and Welfare Plans Maintained by MSG Networks Prior to the Distribution Date. (a) Establishment of the Spinco Health & Welfare Plans. MSG Networks or one or more of its Subsidiaries maintain each of the health and welfare plans set forth on Exhibit E attached hereto (the “MSG Networks Health & Welfare Plans”) for the benefit of eligible MSG Networks Participants and Spinco Participants. Effective as of January 1, 2016 (the “Effective Date”), Spinco shall, or shall cause one of its Subsidiaries to, adopt health and welfare plans for the benefit of eligible Spinco Participants (collectively, the “Spinco Health & Welfare Plans”).
