Common use of HEALTH PLANS THROUGH THE DISTRIBUTION DATE Clause in Contracts

HEALTH PLANS THROUGH THE DISTRIBUTION DATE. Except as otherwise agreed by Adaptec and Roxio, for the period beginning with the Separation Date and ending on the last day of the month in which the Distribution Date falls (or such other period as Adaptec and Roxio may mutually agree), Roxio Employees shall continue to participate in the Adaptec Health Plans. Adaptec shall administer and be responsible for claims incurred under the Adaptec Health Plans by Roxio Employees until the last day of the month in which the Distribution Date occurs, subject to the limitations as set forth in Section 4.1(b). Any determination made or settlements entered into by Adaptec with respect to such claims shall be final and binding. Adaptec shall retain financial and administrative ("run-out") Liability and all related obligations and responsi- bilities for all claims incurred by Roxio Employees until the last day of the month in which the Distribution Date occurs, subject to the limitations as set forth in Section 4.1(b).
