Healthcare Matters. Each Healthcare Borrower will not permit to occur any of the following: (a) any transfer of a Healthcare Authorization or rights thereunder to any Person (other than any Borrower); (b) any pledge or hypothecation of any Healthcare Authorization as collateral security for any Indebtedness other than Indebtedness to Agent; (c) any rescission, withdrawal or revocation of any material Healthcare Authorization necessary for the conduct of such Xxxxxxxx’s business without Agent’s prior written consent (which consent shall not be unreasonably withheld, delayed or conditioned), including, without limitation, any amendment or modification of such Healthcare Authorization.
