Licensed Personnel. The Licensed Personnel have complied and currently are in compliance with all applicable Health Care Laws and hold, and, at all times that such Persons have been Licensed Personnel of the Borrower or any of its Subsidiaries, have held, all professional licenses and other Health Care Permits and all Third Party Payor Authorizations required in the performance of such Licensed Personnel’s duties for the Borrower or any of its Subsidiaries, and each such Health Care Permit and Third Party Payor Authorization is in full force and effect and, to the knowledge of the Borrower and its Subsidiaries, no suspension, revocation, termination, impairment, modification or non-renewal of any such Health Care Permit or Third Party Payor Authorization is pending or threatened in writing, except where the failure to do so has not had or could not reasonably be expected to have, in the aggregate, a Material Adverse Effect.
Licensed Personnel. The Licensed Personnel have complied and currently are in compliance with all applicable Health Care Laws, and hold and, at all times that such Persons have been Licensed Personnel of any Credit Party or any Subsidiary of any Credit Party, have held, all professional licenses and other Health Care Permits and all Third Party Payor Authorizations required in the performance of such Licensed Personnel’s duties for such Credit Party or such Subsidiary, and, each such Health Care Permit and Third Party Payor Authorization is in full force and effect and, to the knowledge of each Credit Party, no suspension, revocation, termination, impairment, modification or non-renewal of any such Permit or Third Party Payor Authorization is pending or threatened.
Licensed Personnel. Except to the extent that noncompliance with the following, individually or in the aggregate, could not reasonably be expected to have a Material Adverse Effect, the Licensed Personnel, when acting in their capacities as such, have complied and currently are in compliance with all applicable Health Care Laws, and hold and, at all times that such Persons have been Licensed Personnel of any Loan Party and acting in their capacities as such, have held, all Health Care Permits required by applicable Health Care Laws in the performance of such Licensed Personnel's duties for such Loan Party, and, each such Health Care Permit is in full force and effect and, to the knowledge of each Loan Party, no suspension, revocation, impairment, or termination of any such Permit due to a failure to comply with a Health Care Permit Requirement of Law is pending or, to the knowledge of any Loan Party, threatened.
Licensed Personnel. To the knowledge of each Group Member, the Licensed Personnel have complied and currently are in compliance in all material respects with all applicable Health Care Laws, and hold and, at all times that such Persons have been Licensed Personnel of any Group Member, have held, all professional licenses and other Health Care Permits and, to the knowledge of each Group Member, all Third Party Payor Authorizations required in the performance of such Licensed Personnel’s duties for such Group Member, and, each such Health Care Permit and Third Party Payor Authorization is in full force and effect and, to the knowledge of each Group Member, no suspension, revocation, termination, impairment, modification or non-renewal of any such Permit or Third Party Payor Authorization is pending or threatened.
Licensed Personnel. The Licensed Personnel (i) have complied at all times since January 1, 2014 when such Licensed Personnel have been performing services on behalf of any Credit Party or any Subsidiary, and currently are in compliance, in all material respects with all applicable Health Care Laws in the performance of such Licensed Personnel’s duties for such Credit Party or such Subsidiary, and (ii) have held at all times since January 1, 2014 that such Persons have been Licensed Personnel performing services on behalf of any Credit Party or any Subsidiary, and currently hold (if still providing services on behalf of any Credit Party or any Subsidiary), all material professional licenses and other material Health Care Permits and all material Third Party Payor Authorizations required in the performance of such Licensed Personnel’s duties for such Credit Party or such Subsidiary, and, each such Health Care Permit and Third Party Payor Authorization is in full force and effect and, to the knowledge of each Credit Party, no suspension, revocation, termination, impairment, modification or non-renewal of any such Permit or Third Party Payor Authorization is pending or threatened.
Licensed Personnel. The Licensed Personnel have complied and currently are in compliance with all applicable Health Care Laws, and hold and, at all times that such Persons have been Licensed Personnel, have held, all professional licenses and other Health Care Permits required in the performance of such Licensed Personnel’s duties, including maintaining an active and unrestricted license as an agent or broker in each applicable jurisdiction to the extent required, and each such Health Care Permit is in full force and effect.
Licensed Personnel. All physicians, nurse practitioners, physician assistants, registered nurses and other licensed health care personnel required for Physician to conduct the Practice (“Licensed Personnel”) shall be either employees or independent contractors of Physician or a third party medical practice subcontracted with Physician. Physician shall have complete control of and responsibility for the hiring, engagement, compensation, training, scheduling, supervision, evaluation and termination of all Licensed Personnel of Physician.
Licensed Personnel. All Plans, Specifications, design calculations, Site data, and cost estimates, if any, required to be prepared by Architect shall be prepared by licensed personnel or personnel under the direction of licensed personnel, as required by the California Education Code and Code of Regulations, and such personnel shall also be in general responsible charge of observation of the construction, as required by those codes.
Licensed Personnel. While performing services on behalf of the Company Group, to the Company’s Knowledge, the Licensed Personnel are, and at all times in the last three (3) years have been, in compliance in all material respects with applicable Healthcare Laws, and hold and, at all times within the last three (3) years have held, all Healthcare Licenses required in the performance of their respective duties for the applicable member of the Company Group, except for any noncompliance that would not be reasonably expected to have a material effect. To the Company’s Knowledge, and except as would not reasonably be expected to result in material non-compliance with any Healthcare Laws: (i) each Healthcare License held by the Licensed Personnel is in full force and effect and no suspension, revocation, termination, impairment, limitation, modification or non-renewal of any such Healthcare License is pending or threatened. To the extent that Company Group bills or submits claims for items or services rendered by any Licensed Personnel to Payor programs (or bills any other third parties for services rendered by Licensed Personnel for which, to the Company’s Knowledge, the third party will submit for payment under Payor programs), all such activities and claims materially comply with applicable Healthcare Laws and Payor program requirements.
Licensed Personnel. The Licensed Personnel currently are in compliance in all material respects with all applicable Health Care Laws, and hold all professional licenses and other Health Care Permits required in the performance of such Licensed Personnel’s duties for Loan Party, and, each such Health Care Permit is in full force and effect and, to the knowledge of each Loan Party, no suspension, revocation, termination, impairment, modification or non-renewal of any such Health Care Permit is pending or threatened.
