Third Party Payor Authorizations Sample Clauses

Third Party Payor Authorizations. The Borrower and each of its Subsidiaries holds, and at all times during the four calendar years immediately preceding the Closing Date has held, in full force and effect, all Third Party Payor Authorizations necessary to participate in and be reimbursed by all Third Party Payor Programs in which the Borrower or any of its Subsidiaries participates, except where the failure to do so has not had or could not reasonably be expected to have, in the aggregate, a Material Adverse Effect. There is no investigation, audit, claim review, or other action pending or, to the knowledge of the Borrower or any of its Subsidiaries, threatened in writing, which could result in a suspension, revocation, termination, restriction, limitation, modification or non-renewal of any Third Party Payor Authorization or result in the exclusion of the Borrower or any of its Subsidiaries from any Third Party Payor Program that could reasonably be expected to have, in the aggregate, a Material Adverse Effect.

Third Party Payor Authorizations. Each Credit Party and each of their respective Subsidiaries holds, and at all times during the three calendar years immediately preceding the Effective Date has held, in full force and effect, all material Third Party Payor Authorizations necessary to participate in and be reimbursed by all Third Party Payor Programs in which any Credit Party or any Subsidiary of any Credit Party participates. There is no investigation, material audit or claim or review outside the Ordinary Course of Business, or other action pending, or to the knowledge of any Credit Party, threatened, which would be reasonably likely to result in a suspension, revocation, termination or non-renewal of any Third Party Payor Authorization or result in any Credit Party’s or any of their Subsidiaries’ exclusion from any Third Party Payor Program.
Third Party Payor Authorizations. The Originator holds in full force and effect all Third Party Payor Authorizations necessary to participate in and be reimbursed by all Third Party Payor Programs in which the Originator participates, except where such failure would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect. There is no investigation, audit, claim review, or other action pending, or to the knowledge of the Originator, threatened in writing, which would reasonably be expected to result in a suspension, revocation, termination, material restriction, material limitation, material modification or non-renewal of any Third Party Payor Authorization or result in the Originator’s exclusion from any Third Party Payor Program, except where such suspension, revocation, termination, material restriction, material limitation, material modification or non-renewal of any Third Party Payor Authorization, or exclusion from any Third Party Payor Program, would not reasonably be expected to have, individually or in the aggregate, a Material Adverse Effect.

Third Party Payor Authorizations. Each Credit Party and each of their respective Restricted Subsidiaries holds all Third Party Payor Authorizations necessary to be enrolled in and/or participate in and be reimbursed by all Third Party Payor Programs in which any Credit Party or any Restricted Subsidiary of any Credit Party participates or is enrolled (as applicable), except to the extent that the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect. There is no investigation, audit, claim review, or other similar action pending, or to the knowledge of any Credit Party, threatened in writing, which could reasonably be expected to result in a suspension, revocation, termination, restriction, limitation, modification or non-renewal of any Third Party Payor Authorization or result in any Credit Party’s or any of their Restricted Subsidiaries’ exclusion from any Third Party Payor Program, and that, in each case, would reasonably be expected to have a Material Adverse Effect.
Third Party Payor Authorizations. Each Group Member holds, and at all times during the six calendar years immediately preceding the Closing Date has held, in full force and effect, all material Third Party Payor Authorizations necessary to participate in and be reimbursed by all material Third Party Payor Programs in which any Group Member participates. There is no investigation, audit, claim review, or other action pending, or to the knowledge of any Group Member, threatened, which could result in a suspension, revocation, termination, restriction, limitation, modification or non-renewal of any Third Party Payor Authorization or result in any Group Member’s exclusion from any Third Party Payor Program
Third Party Payor Authorizations. Each Loan Party and each Subsidiary and to the knowledge of each Loan Party, each Managed Entity, holds in full force and effect, all Third Party Payor Authorizations (if any) necessary to participate in and be reimbursed by all Third Party Payor Programs in which it participates. To the knowledge of any Loan Party, there is no investigation, audit, claim review, or other action pending or threatened in writing, which could result in a suspension, revocation, termination, restriction, limitation, modification or nonrenewal of any Third Party Payor Authorization or result in the exclusion of a Loan Party, Subsidiary or Managed Entity from any Third Party Payor Program.
