Common use of Held by Non-Continuing Employees Clause in Contracts

Held by Non-Continuing Employees. Effective as of the Effective Time, by virtue of the Merger and without any action on the part of Buyer, Merger Sub, the Company, any Company Securityholder or any other Person, each Unvested Company Option that is outstanding as of immediately prior to the Effective Time and held by a Non-Continuing Employee shall be cancelled without any consideration paid therefor (the “Cancelled Unvested Options”).
