Holdback True-Up. (a) As promptly as practicable after (i) each anniversary of the Closing Date and (ii) the date that all holdbacks that may or have become payable pursuant to the Holdback Agreements have been finally determined in accordance with all applicable Holdback Agreements (each such date, a “Holdback Determination Date”), and in any event not later than 15 Business Days after the Holdback Determination Date, Purchaser shall deliver to the Sellers’ Representative a written statement (each, a “Holdback Statement”) setting forth, for any holdback that has been finally determined pursuant to the terms, and subject to the conditions and limitations, of the applicable Holdback Agreements (each, a “Final Holdback Payment”) since the most recent preceding Holdback Determination Date, the Holdback Agreement pursuant to which each such
