Hosting Arrangement. Compass shall provide for the hosting of Customer Hardware at a Hosting Facility (“Hosting Service”), as may be referenced in the Service Order. As part of the Hosting Service, Compass shall provide for or arrange shelf and/or rack space, sufficient electrical capacity at the required voltage and wattage, provision of electricity, monitoring and repair services (according to section 3.2) (i.e., standard fixes, basic repairs or Customer Hardware resets), and support from Compass Mining Operational Teams, as applicable. In addition to the other rights herein, Compass reserves the right to switch your Hosting Service from any Hosting Facility to another Hosting Facility, as Compass deems reasonable under the circumstances (according to Section 3.3). Compass reserves the right to provide the Hosting Service directly or through agents, vendors and third parties. Customer acknowledges and agrees that Compass may procure products, services and facilities from, and subcontract the provision of the Hosting Service to, third party providers and subcontractors, including, without limitation, any Hosting Provider and any of Compass’ subsidiaries or affiliates. By using the Hosting Service, Customer acknowledges and accepts the terms of the Compass Hosting Service Agreement as the same may be updated from time to time, with the most current version being maintained at ▇▇▇▇▇://▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇/ hosting-agreement.
Hosting Arrangement. (a) New Seller 1 hereby agrees to assist the relevant Title Holder to enter into a hosting and maintenance agreement with respect to the KWHTX01 Products (the “Interim KWHTX01 Agreements”) with Bitmain Technologies Georgia Limited, a corporation incorporated under the laws of Georgia (Corporation No. 21203283) (the “Bitmain”) with substantially the same terms and conditions as the Existing Hosting Agreement of the KWHTX01 Products (the “Existing KWHTX01 Agreements”), and New Seller 1 or its applicable Affiliate shall, concurrent with the execution of the Interim KWHTX01 Agreements, terminate its hosting arrangement with Bitmain with respect to the KWHTX01 Products. After the expiration of the Interim KWHTX01 Agreements, New Seller 1 shall assist the Title Holder to enter into a new hosting and maintenance agreement with a new service provider, with the total fee rate not higher than that in the Interim KWHTX01 Agreements.
(b) To satisfy the closing condition under Section 5.3(c) of the APA with respect to the KWHTX01 Products, either (i) on or prior to the Closing, New Seller 1 or its applicable Affiliate shall enter into an assignment agreement in the form attached hereto as Exhibit C (the “KWHTX01 Assignment Agreement”), to assign all rights and obligations under Existing KWHTX01 Agreements with respect to the KWHTX01 Products to the Title Holder, from the date of Closing to the date of the Interim KWHTX01 Agreements, and shall obtain all consents as required for such assignment under the Existing KWHTX01 Agreements (for the avoidance of doubt, the Purchaser and the Title Holder shall not be liable for any liability with respect to the KWHTX01 Products under the Existing KWHTX01 Agreements as a result of or in connection with any event occurred before the Closing), or (ii) if the KWHTX01 Assignment Agreement is not entered into on or prior to the Closing, New Seller 1 and the Purchaser agrees to cooperate with each other in a manner to achieve the same economic effect as if the KWHTX01 Assignment Agreement has been entered into, provided that New Seller 1 shall ensure that, as of the Closing, (i) the computational capacity of the KWHTX01 Products and all mining income generated therefrom are fully attributable to the Title Holder, and the Purchaser and the Title Holder shall only be responsible for the actual operating costs associated with the KWHTX01 Products thereafter at the fee rate set forth in the Existing KWHTX01 Agreements, and (ii) the Title Ho...

The Licensor agrees to host, via an outsourced service provider under a service level agreement, a website allowing the Licensee to make use of the Software on either a shared managed or a dedicated Server. The Licensee wishes the Licensor to host its Website on the shared manager or dedicated Server and to connect to the internet via such Server upon the terms and subject to the conditions contained in this Agreement (“the Hosting Arrangement”).

Hosting Arrangement. A. The Host Government Partner hereby declares that it will provide hosting arrangements for the Secretariat.
B. The hosting arrangement and the operations of the Secretariat will in all respects, (including but not limited to recruitment, operations, delegation of authority to the Chief Executive and financial matters) be conducted and administered in accordance with the laws of the Republic of Korea. The target date for the commencement of operation of the Secretariat is 1 July 2009.
C. The Host Government Partner will maintain its relationship with the Secretariat within the boundaries of its role and responsibilities as a Partner in the same manner as other Partners.
D. The Partners acknowledge that the Management Committee will review the hosting arrangement at no more than five year intervals, in conjunction with Meetings of the Partners or Meetings of the Management Committee.
