I T A L. A. This instrument creates a trust for purposes of the Canyon Fuel Company Capital Accumulation Plan (the "Plan"). B. The parties hereto desire to execute a trust agreement which sets forth the rights and duties of Trustee and the terms and conditions under which the trust fund is to be administered.
I T A L. In furtherance of the consummation of the transac- tions contemplated in the Plan (as hereinafter defined), the parties hereto desire to form a limited partnership (the "Part- nership") pursuant and subject to the provisions of the Dela- ware Revised Uniform Limited Partnership Act, as amended from time to time (the "Act").

I T A L. Landlord hereby leases to Tenant and Tenant hereby hires and takes from Landlord, the Premises, for the Term, commencing on the Commencement Date, subject to the terms, covenants, conditions and provisions of this Lease. If the Commencement Date is not the first (1st) day of a month, Rent for the month in which the Commencement Date occurs shall be prorated to the end of the month, the first (1st) full monthly installment of Rent shall be due on the first (1st) day of the next month and after the expiration of the number of years in the Term, the Term shall expire on the last day of the same month in which the Commencement Date of the Term occurred, it being the intention of the parties that the Term expire on the last day of a month. When the Commencement Date has been determined, Landlord and Tenant shall execute, acknowledge and deliver a written statement in recordable form specifying the Commencement and expiration dates of the Term and, if there shall have been any changes in the Floor Space of the Premises, such statement shall reflect such change or changes.
