Illegal Provisions. In case anyone or more of the provisions contained in this Agreement shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this Agreement and this Agreement shall be construed as if such invalid, illegal or unenforceable provisions has not been sated herein.
Illegal Provisions. If any provision of this Agreement is or becomes or is deemed invalid, illegal or unenforceable in any jurisdiction, each provision shall be deemed amended to conform to applicable laws so as to be valid and enforceable or if it cannot be so amended without materially altering the intention of the parties, it shall be stricken and the remainder of this Agreement shall remain in full force and effect.
Illegal Provisions. Should any provision of this Agreement be declared illegal by any court of competent jurisdiction, such provision shall immediately become null and void, leaving the remainder of the Agreement in full force and effect and the parties shall thereupon seek to negotiate substitute provisions which are in conformity with the applicable laws.

Where however the provisions of any such applicable law may be waived they are hereby waived by the parties hereto to the full extent permitted by law with the object that this Agreement shall be deemed to contain a valid and binding agreement between the parties hereto enforceable in accordance with its terms. Where the provisions may not be waived or may only be waived in part the parties agree to substitute legal and enforceable terms so as to implement the intentions of the parties to the extent that this is legally possible.
Illegal Provisions. Any provision of this Agreement that is prohibited by law or that is unenforceable in any jurisdiction, shall be of not effect to the extent of such prohibition or lack of enforceability, but shall not affect, alter or invalidate the other provisions hereof or the enforceability thereof.
