Illegality; Inability to Determine Rates Sample Clauses

The "Illegality; Inability to Determine Rates" clause defines what happens if it becomes illegal or impossible to determine or use a specified interest rate or benchmark in a contract. Typically, this clause outlines the steps parties must take if a law changes, a regulatory authority intervenes, or a benchmark rate is discontinued or unavailable, such as switching to an alternative rate or suspending certain obligations. Its core function is to ensure the contract remains operable and fair even if external factors disrupt the original rate-setting mechanism, thereby reducing uncertainty and risk for both parties.
