The Company has received all permits and approvals from, and has made all filings with, third parties, including government agencies and authorities, that are necessary in connection with its present business (except for such permits, approvals or filings that would not result in a Company Material Adverse Effect). There are no legal or administrative proceedings or investigations involving the Company or any of its subsidiaries pending or threatened before any governmental entity.
