Common use of Implementing Agreement Clause in Contracts

Implementing Agreement. Subject to the terms and conditions hereof, each party hereto shall use its reasonable best efforts to take all action required of it to fulfill its obligations under the terms of this Agreement and to facilitate the consummation of the transactions contemplated hereby. Each Seller agrees that unless this Agreement is terminated in accordance with the provisions of Section 9.1, each Seller will not encumber the Shares, will not sell the Shares to any Person other than Buyer (or an Affiliate of Buyer) and will not take any other action which would have the effect of preventing or disabling each Seller's respective performance of its obligations under this Agreement.

Implementing Agreement.
