Common use of Implementing Agreement Clause in Contracts

Implementing Agreement. Subject to the terms and conditions hereof, Purchaser shall take all action required of it to fulfil its obligations under the terms of this Agreement and shall use all commercially reasonable efforts to facilitate the consummation of the transactions contemplated hereby. Except as otherwise expressly permitted hereby, Purchaser agrees that it will not take any action that would have the effect of preventing or impairing Purchaser's performance of its obligations under this Agreement.
