Imposition of Liquidated Damages. The supplier is liable to pay the stipulated liquidated damages for the period of delay to the rate of 2% but not less than 1% of the value of the unsupplied quantity of the stores per month for the period exceeding original delivery period subject to provision that the total liquidated damages thus liable will not exceed 10% of the total value of the late delivered stores.

Imposition of Liquidated Damages. The City may impose liquidated damages in accordance with the procedures in this Section. The City shall provide Licensee written notice describing with reasonable specificity the alleged noncompliance, and provide Licensee with an opportunity to be heard at a public meeting, to show either that a violation has not occurred or that damages should not be imposed. The written notice shall be provided at least sixty (60) days prior to any hearing on the alleged noncompliance.
Imposition of Liquidated Damages. City may assess liquidated damages against Republic for unsatisfactory performance under the terms and conditions of this Franchise (except where such failure is excused by an Uncontrollable Circumstance as described in Section 13.9 below). A description of the actions or omission which will result in damages and the monetary amount of damages corresponding thereto is attached hereto as Exhibit B. City will provide Republic with five (5) days written notice of any proposed assessment. Republic will have the right to appeal City's assessment to the City Manager in accordance with the dispute resolution procedures set forth in Exhibit B hereof.

It is not the parties’ intent for this provision to limit either party’s remedies against the other for the breach of this Agreement, except for the District’s money damages for unexcused delays caused by the Contractor.

  • Payment of Damages The indemnification required hereunder shall be made by periodic payments of the amount thereof during the course of the investigation or defense, within 10 days as and when reasonably specific bills are received or loss, liability, claim, damage or expense is incurred and reasonable evidence thereof is delivered. In calculating any amount to be paid by an indemnifying party by reason of the provisions of this Agreement, the amount shall be reduced by all reimbursements (including, without limitation, insurance proceeds) credited to or received by the other party related to the Damages.
