Inadequacy or Indeterminacy. Unless and until a Benchmark Replacement is implemented in accordance with clause (h) below, if, on or prior to the first day of any Interest Period, (y) the Administrative Agent shall have determined in good faith that adequate and reasonable means do not exist for ascertaining the applicable LIBOR Rate for such Interest Period or (z) the Administrative Agent shall have received written notice from the Required Lenders of their determination in good faith that the rate of interest referred to in the definition of “LIBOR Rate” upon the basis of which the Adjusted LIBOR Rate for LIBOR Loans for such Interest Period is to be determined will not adequately and fairly reflect the cost to such Lenders of making or maintaining LIBOR Loans during such Interest Period, the Administrative Agent will forthwith so notify the Borrower and the Lenders. Upon such notice, (i) all then outstanding LIBOR Loans shall automatically, on the expiration date of the respective Interest Periods applicable thereto (unless then repaid in full), be converted into Base Rate Loans, (ii) the obligation of the Lenders to make, to convert Base Rate Loans into, or to continue, LIBOR Loans shall be suspended (including pursuant to the Borrowing to which such Interest Period applies), and (iii) any Notice of Borrowing or Notice of Conversion/Continuation given at any time thereafter with respect to LIBOR Loans shall be deemed to be a request for Base Rate Loans, in each case until the Administrative Agent or the Required Lenders, as the case may be, shall have determined that the circumstances giving rise to such suspension no longer exist (and the Required Lenders, if making such determination, shall have so notified the Administrative Agent), and the Administrative Agent shall have so notified the Borrower and the Lenders.

Inadequacy or Indeterminacy. Unless (i) Subject to Section 2.15(h), in connection with any RFR Loan or, on and until after the USD LIBOR Transition Date, any Base Rate Loan, a Benchmark Replacement request therefor, a conversion to or a continuation thereof or otherwise, if for any reason (A) the Administrative Agent shall determine (which determination shall be conclusive and binding absent manifest error) that (x) if Daily Simple RFR is implemented utilized in accordance any calculations hereunder or under any other Credit Document with clause respect to any Obligations, interest, fees, commissions or other amounts, “Daily Simple RFR” cannot be determined pursuant to the definition thereof or (hy) belowif Term RFR is utilized in any calculations hereunder or under any other Credit Document with respect to any Obligations, ifinterest, fees, commissions or other amounts, “Term RFR” cannot be determined pursuant to the definition thereof on or prior to the first day of any Interest Period, Period or (yB) the Administrative Agent shall have determined determine (which determination shall be conclusive and binding absent manifest error) that a fundamental change has occurred in good faith that adequate and reasonable means do not exist for ascertaining the foreign exchange markets with respect to an applicable LIBOR Rate for such Interest Period Foreign Currency (including changes in national or (z) international financial, political or economic conditions or currency exchange rates or exchange controls), then the Administrative Agent shall have received written promptly give notice from thereof to the Required Borrower. Upon notice thereof by the Administrative Agent to the Borrower, (A) any obligation of the Lenders to make RFR Loans in each such Currency, and any right of their the Borrower to convert any Loan in each such Currency (if applicable) or continue any Loan as an RFR Loan in each such Currency, shall be suspended (to the extent of the affected RFR Loans or, in the case of Term RFR Loans, the affected Interest Periods) until the Administrative Agent revokes such notice and (B) if such determination in good faith that affects the rate calculation of interest referred Base Rate, the Administrative Agent shall during the period of such suspension compute Base Rate without reference to in clause (c) of the definition of “LIBOR Base Rate” upon the basis of which the Adjusted LIBOR Rate for LIBOR Loans for such Interest Period is to be determined will not adequately and fairly reflect the cost to such Lenders of making or maintaining LIBOR Loans during such Interest Period, until the Administrative Agent will forthwith so notify the Borrower and the Lendersrevokes such notice. Upon receipt of such notice, (iA) all then outstanding LIBOR the Borrower may revoke any pending request for a borrowing of, conversion to or continuation of RFR Loans shall automatically, on in each such affected Currency (to the expiration date extent of the respective affected RFR Loans or, in the case of a Term RFR Loans, the affected Interest Periods Periods) or, failing that, (I) in the case of any request for a borrowing of an affected RFR Loan in Dollars, the Borrower will be deemed to have converted any such request into a request for a borrowing of or conversion to Base Rate Loans in the amount specified therein and (II) in the case of any request for a borrowing of an affected RFR Loan in a Foreign Currency, then such request shall be ineffective and (B)(I) any outstanding affected RFR Loans denominated in Dollars will be deemed to have been converted into Base Rate Loans immediately or, in the case of Term RFR Loans, at the end of the applicable thereto Interest Period and (unless then repaid II) any outstanding affected RFR Loans denominated in full)a Foreign Currency, at the Borrower’s election, shall either (1) be converted into Base Rate Loans denominated in Dollars (in an amount equal to the Dollar Amount of such Foreign Currency) immediately or, in the case of Term RFR Loans, (ii) at the obligation end of the Lenders to make, to convert Base Rate Loans into, or to continue, LIBOR Loans shall be suspended (including pursuant to the Borrowing to which such applicable Interest Period appliesor (2) be prepaid in full, together with accrued interest thereon (subject to Section 2.8(d)), and immediately or, in the case of Term RFR Loans, at the end of the applicable Interest Period; provided that if no election is made by the Borrower by the date that is three (iii3) any Notice Business Days after receipt by the Borrower of Borrowing or Notice such notice or, in the case of Conversion/Continuation given at any time thereafter with respect to LIBOR Loans Term RFR Loans, the last day of the current Interest Period for the applicable RFR Loan, if earlier, the Borrower shall be deemed to be a request for Base Rate Loanshave elected clause (1) above. Upon any such prepayment or conversion, in each case until the Administrative Agent or the Required Lenders, as the case may be, shall have determined that the circumstances giving rise to such suspension no longer exist (and the Required Lenders, if making such determination, shall have so notified the Administrative Agent), and the Administrative Agent shall have so notified the Borrower and the Lendersshall also pay any additional amounts required pursuant to Section 2.17.
