Incentives, Credits and Rewards. When You use the UPS My Choice® service to manage shipments, You may be offered a selection of incentives for choosing certain logistics services including changing Your delivery location or level of service (“Incentive”). When You select an Incentive, You may earn the credit associated at the successful completion of the logistics service of the Incentive (“Credit”). Incentives vary depending on factors such as the change in location and level of service. Credits cannot be exchanged for cash and may only be redeemed for gift or stored value card(s) of equal or approximately equal value (“My Choice Reward”). My Choice Rewards are redeemed through a website operated by a vendor engaged by us. Your access and use of this website to manage and redeem My Choice Rewards is subject to the vendor’s posted terms and conditions which are found at the website. Each My Choice Reward may be subject to additional terms and conditions of the participating third party merchant associated with such My Choice Reward. To review such merchant’s terms and conditions click the “Terms and Conditions” link on the My Choice Reward detail page. My Choice Rewards may change at any time, and You may only use Credits for My Choice Rewards that are currently available. UPS MAY REQUIRE YOU TO EXCHANGE CREDITS FOR MY CHOICE REWARDS ONCE YOU HAVE REACHED A CERTAIN VALUE OF CREDITS. IF YOU UN-ENROLL FROM THE UPS MY CHOICE® SERVICE, YOU WILL FORFEIT ANY CREDITS THAT HAVE NOT BEEN CONVERTED INTO MY CHOICE REWARDS. UPS may discontinue or suspend the Incentives as a feature of the UPS My Choice® service at any time. You will be provided notice of any discontinuance or suspension of the Incentives and, in the case of a discontinuance, informed how to perform a final redemption of any Credit balance. Upon termination of this Agreement or Your right to accesses and use the UPS My Choice® service, You will be provided instructions on how to perform a final redemption of any Credit balance. Six (6) months after termination of this Agreement or Your right to accesses and use the UPS My Choice® service, You will no longer be able to perform the final redemption of any Credit balance.

  • Cash and Incentive Compensation (a) All payments referenced in this Agreement are subject to applicable tax withholdings and authorized or required deductions.

  • Incentive Bonuses After the Company attains profitability, the Employee shall be eligible to be considered for an annual incentive bonus. Such bonus (if any) shall be awarded based on objective or subjective criteria established in advance by the Board or its Compensation Committee. The determinations of the Board or its Compensation Committee with respect to such bonus shall be final and binding. Except as expressly provided in this Agreement, the Employee shall not be entitled to an incentive bonus if he is not employed by the Company on the date when such bonus is payable.

  • Executive’s Compensation The Company agrees to compensate the Executive as follows:

  • Bonus and Incentive Compensation Executive shall be entitled to equitable participation in incentive compensation and bonuses in any plan or arrangement of the Bank or the Company in which Executive is eligible to participate. Nothing paid to Executive under any such plan or arrangement will be deemed to be in lieu of other compensation to which Executive is entitled under this Agreement.

  • Recovery of Bonus and Incentive Compensation Any bonus and incentive compensation paid to you during a CPP Covered Period is subject to recovery or “clawback” by the Company if the payments were based on materially inaccurate financial statements or any other materially inaccurate performance metric criteria.

  • Incentive Bonus Plan Employee shall be eligible for a bonus opportunity of up to 65% of his annual base salary in accordance with the Company’s Incentive Bonus Plan as modified from time to time, payable in cash and/or equity of the Company (at the Company’s discretion). The bonus payment and the Company’s targeted performance shall be determined and approved by the Board or the compensation committee thereof.

  • Incentive Awards a) The Executive shall participate in the Company's annual incentive plan for senior-level executives as in effect from time to time, subject to the performance standards set by the Compensation Committee. Payment of any annual incentive award shall be made at the same time that such awards are paid to other senior-level executives of the Company. The Executive's annual incentive award target shall be set by the Compensation Committee. b) The Executive shall be eligible to receive grants under the Company's long-term incentive plans as in effect from time to time; provided, however, that the size, type and other terms and conditions of any such grant to the Executive shall be determined by the Compensation Committee.

  • Long-Term Incentive Compensation Subject to the Executive’s continued employment hereunder, the Executive shall be eligible to participate in any equity incentive plan for executives of the Firm as may be in effect from time to time, in accordance with the terms of any such plan.

  • Termination Compensation Termination Compensation equal to two (2) times the Executive's Base Period Income shall be paid to the Executive in a single sum payment in cash on the thirtieth (30th) business day after the later of (a) the Control Change Date and (b) the date of the Executive's employment termination; provided that if at the time of the Executive's termination of employment the Executive is a Specified Employee, then payment of the Termination Compensation to the Executive shall be made on the first day of the seventh (7th) month following the Executive's employment termination.

  • Performance Bonuses The Executive will be eligible to receive an annual cash bonus at an annualized rate of up to 40% of his base salary, based on the achievement of reasonable individual and Company performance targets to be established by the Company and Parent.
