Incumbency Certificate of Buyer. The Sellers shall have received a certificate, dated the Closing Date and executed by the Secretary of the Buyer, certifying the incumbency and signatures of the officers of the Buyer authorized to act on behalf of the Buyer in connection with the transactions contemplated hereby.

Incumbency Certificate of Buyer. A signed certificate of the Secretary or Assistant Secretary of Buyer which shall certify the names of the officers of Buyer authorized to sign the Note, the Security Agreement, the other Collateral Documents, and the other documents or certificates to be delivered by such person pursuant to this Agreement, the Note, the Security Agreement, the other Collateral Documents and the Registration Rights Agreement, together with the true signatures of each of such officers. Seller may conclusively rely on the certificate of Buyer until Seller shall have received a further certificate of the Secretary or Assistant Secretary of Buyer canceling or amending the prior certificate and submitting the signature of the officers named in such further certificate.
Incumbency Certificate of Buyer. Buyer shall deliver to Sellers an incumbency certificate, containing a certification as to the names and specimen signatures of the persons authorized to sign on its behalf, executed by an executive officer. A form of Buyer's incumbency certificate is attached hereto as Exhibit 2.4(i).
