INDEMNIFICATION BY DS. DS will defend Solution Provider from and against any and all claims that a Licensed Product delivered under this Agreement infringes (a) any copyright of a country signatory of the Bern Convention or (b) any European, United States of America or Canadian patent, provided that the allegedly infringed patent is registered as of the date of the Licensed Product's delivery to Solution Provider. This commitment is conditioned upon Solution Provider (i) providing DS with immediate written notice of the claim; (ii) giving DS sole control of the defense to the claim including settlement negotiations if any; and (iii) providing at its costs reasonable cooperation in the defense against the claim. Under this commitment, DS will indemnify and hold Solution Provider harmless from and against the payment of (i) any damages awarded by any competent court by way of a final decision, (ii) any settlement indemnity agreed upon by Solution Provider with DS's prior written approval and according to DS's express written instructions and (iii) reasonable attorneys fees if any, to the exclusion of any other payment whatsoever. If operation of a Licensed Product becomes, or in DS's reasonable opinion, is likely to become the subject of an infringement claim, Solution Provider shall permit DS, at DS's option and expense, either to secure for Solution Provider the right to continue using the Licensed Product or to modify it, or to replace it with another computer program which is functionally equivalent. If neither of the foregoing options is available on terms which are reasonable, Solution Provider shall destroy or return said Licensed Product, and all copies thereof, to DS within one (1) month from DS's written request. In such a case, DS will grant Solution Provider a credit for that portion of the Yearly Fee paid for this Licensed Product for the last twelve month period. DS shall have no obligation with respect to any claim based upon any modification of Licensed Products by anyone other than DS, or arising from use of Licensed Products in combination with items, data or programs not supplied by DS, or use of any release of Licensed Product other than the most recent release made available by DS.

INDEMNIFICATION BY DS. DS shall indemnify, defend and hold Zymeworks and its Affiliates, and their respective officers, directors, employees, contractors, agents and assigns (each, a “Zymeworks Indemnified Party”), harmless from and against Losses incurred by any Zymeworks Indemnified Party as a result of any Third Party Claims against any Zymeworks Indemnified Party (including product liability claims) arising or resulting from: (a) the research, development or commercialization of Antibodies or Products by DS or its Affiliates or Third Parties acting under their authority under this Agreement; (b) the negligence or willful misconduct of DS or its Affiliates or Third Parties (including collaborators and other sublicensees and contractors) acting under their authority pursuant to this Agreement; or (c) the material breach of any term in or the covenants, warranties, representations made by DS to Zymeworks under this Agreement. DS is only obliged to so indemnify and hold the Zymeworks Indemnified Parties harmless to the extent that such Claims do not arise from the material breach of this Agreement or the negligence or willful misconduct of Zymeworks or its Related Parties.
INDEMNIFICATION BY DS. DS shall defend, indemnify, and hold Kite, its Affiliates and Kite’s and its Affiliates’ officers, directors, employees, and agents (the “Kite Indemnitees”) harmless from and against any and all Claims to the extent that such Claims arise out of, are based on, or result from (a) the Development, manufacture, storage, handling, use, promotion, sale, offer for sale, and importation of the Licensed Products by DS or its Affiliates, or its or their Sublicensees, contractors, or distributors (the “DS Group”); (b) a breach of any of DS’s representations, warranties, and obligations under this Agreement; (c) the willful misconduct or negligent acts of DS or its Affiliates, or the officers, directors, employees, or agents of DS or its Affiliates in connection with their performance under this Agreement or (d) any claim of infringement due to DS’s failure to obtain a license to any Necessary IP in accordance with Section 2.1.5.1. The foregoing indemnity obligation shall not apply to the extent that the Kite Indemnitees fail to comply with the indemnification procedures set forth in Section 13.3 and DS’s defense of the relevant Claims is prejudiced by such failure, or to the extent that any Claim arises from, is based on, or results from (i) the Development, manufacture, storage, handling, use, promotion, sale, offer for sale, and importation of the Licensed Products by Kite or its Affiliates, contract manufacturers, distributors, or licensees (other than DS Group); (ii) a breach of any of Kite’s representations, warranties, and obligations under this Agreement; or (iii) the willful misconduct or negligent acts of Kite, its Affiliates, or the officers, directors, employees, or agents of Kite or its Affiliates; or (d) any claim of infringement due to Kite’s failure to notify DS, as a Necessary IP, of a Patent which would be infringed by the Development, manufacture, or Commercialization of a Licensed Product in the Field in the Territory in the absence of a license under such Patent, in accordance with Section 2.1.5.1.

In no event shall the liability of a selling Holder be greater in amount than the dollar amount of the proceeds (net of all expenses paid by Holder in connection with any claim relating to this Section 5 and the amount of any damages Holder has otherwise been required to pay by reason of such untrue statement or omission) received by Holder upon the sale of the Registrable Securities included in the Registration Statement giving rise to such indemnification obligation.

The Company shall also indemnify selling brokers, dealer managers and similar securities industry professionals participating in the distribution, their officers and directors and each Person who controls such Persons (within the meaning of section 15 of the Securities Act or section 20 of the Exchange Act) to the same extent as provided above with respect to the indemnification of the Holders of Registrable Securities, if requested. This indemnity agreement shall be in addition to any liability which the Company may otherwise have.
