Common use of Indemnification of Pedigree Clause in Contracts

Indemnification of Pedigree. Client agrees to indemnify, defend and hold harmless Pedigree and its third-party vendors from and against any and all losses, liabilities, costs (including reasonable attorneys’ fees) or damages resulting from any claim arising out of or relating to: (i) any claim by any third party that any of the Client Marks, or any of the Client’s data or forms transmitted via the Licensed Technology infringes such third party’s intellectual property rights; or (ii) any claims, demands or liability, including any losses, costs, expenses, and attorney’s fees, arising out of or resulting from any injury, including death, to persons or damage to property caused, directly or indirectly, by the Licensed Technology due to the negligent acts or omissions of Client.
