Indemnification to Trustee. To the extent permitted by law, the School District shall and hereby agrees to indemnify and save the Trustee harmless from and against all claims, losses, costs, liabilities and damages, including legal fees and expenses, arising out of (i) any breach or default on the part of the School District, in the performance of any of its obligations under this Trust Agreement, if such breach or default is reduced to a written settlement or a judgment favorable to the Trustee, or (ii) any tortious act or failure to act of the School District, or of any of its officers, agents or employees with respect to the Premises, or (iii) Trustee's performance of its duties or exercise of its rights under this Trust Agreement, the Ground Lease or the Lease-Purchase Agreement. No indemnification will be made under this Section or elsewhere in this Trust Agreement to the extent such claims result from the Trustee’s gross negligence or bad faith. The School District's obligations and liabilities under this Article shall survive the termination of this Trust Agreement and the Lease-Purchase Agreement and Ground Lease. For the avoidance of doubt, the School District's commitment to indemnify pursuant to this Section shall for all purposes be considered an obligation of the School District and not subject to the limitations set forth in Sections 3.4 and 3.5 of the Lease with respect to the School District's obligation to make Lease Payments.

Indemnification to Trustee. Before taking any action within the scope of this Indenture, the Trustee may require from the party requesting such action that a satisfactory indemnity bond or reasonable assurance be furnished for the reimbursement of all fees, costs and expenses to which it may be put and to protect it against all liability, except liability which is adjudicated to have resulted from a breach of its obligations under the Indenture by reason of any action so taken; provided, however, that this Section shall not apply with respect to any action required to be taken by the Trustee hereunder in connection with any drawing under the Credit Facility, including any actions which are conditions precedent to a drawing on the Credit Facility, the making of any payment to Bondholders, effecting any mandatory tender or redemption of Bonds hereunder or declaring an acceleration of maturity of principal and interest on the Bonds.
Indemnification to Trustee. The District has in Section 5.7 of the Master Lease agreed, to the extent permitted by law, including the provisions of Section 768.28 Florida Statutes, to indemnify and save the Trustee harmless from and against all liabilities, including consequential damages and reasonable legal fees and expenses arising out of the administration of the trusts pursuant to this Trust Agreement, and all matters concerning the Trusteeʹs duties and obligations with respect to the Leases and the Assignment Agreements including the issuance of the Certificates, except in the case of liability, obligations and damages arising out of the Trusteeʹs negligence or willful misconduct.

  • Limitation of Vendor Indemnification and Similar Clauses This is a requirement of the TIPS Contract and is non-negotiable. TIPS, a department of Region 8 Education Service Center, a political subdivision, and local government entity of the State of Texas, is prohibited from indemnifying third-parties (pursuant to the Article 3, Section 52 of the Texas Constitution) except as otherwise specifically provided for by law or as ordered by a court of competent jurisdiction. Article 3, Section 52 of the Texas Constitution states that "no debt shall be created by or on behalf of the State … " and the Texas Attorney General has opined that a contractually imposed obligation of indemnity creates a "debt" in the constitutional sense. Tex. Att'y Gen. Op. No. MW-475 (1982). Thus, contract clauses which require TIPS to indemnify Vendor, pay liquidated damages, pay attorney's fees, waive Vendor's liability, or waive any applicable statute of limitations must be deleted or qualified with ''to the extent permitted by the Constitution and Laws of the State of Texas."
