Indemnified Party’s Obligations. The party claiming indemnification under this Section 19 agrees that its indemnification by the other party is subject to compliance with this Section 19(e). The party claiming indemnification agrees to promptly provide Notice to the other party in a time frame that does not prejudice the rights of such other party (and, in the case of any action, suit, arbitration, mediation, judicial or administrative proceeding, or any other proceeding, shall so notify no later than fifteen (15) days after the party claiming indemnification has received Notice thereof or has been served with a complaint or other process) when it has knowledge of circumstances or the occurrence of any events which are likely to result in an indemnification obligation under this Agreement or when any action, suit, arbitration, mediation, judicial or administrative proceeding, or any other proceeding is pending or threatened that is covered by this Section 19; and further agrees that, upon request and to the extent permitted by applicable law, the other party shall have the sole right to control, defend, settle, and negotiate any such suit or proceeding, at such other party’s expense, provided that: (i) such other party demonstrates to the satisfaction of the party claiming indemnification that it is financially able to defend such action and to pay any settlement or judgment; and (ii) counsel retained by such other party are reasonably satisfactory to the party claiming indemnification. The party claiming indemnification agrees to cooperate with the other party in the defense of any such suit or proceeding, and the other party agrees to reimburse the party claiming indemnification for its expenses with respect thereto. Failure by the party claiming indemnification to promptly notify the other party as required by this Section 19(e) shall not invalidate the claim for indemnification, unless such failure has a material adverse effect on the settlement, defense, or compromise of the matter that is the subject of the claim for indemnification. In addition, the party claiming indemnification shall be responsible for any Claims or Losses that could have been avoided or mitigated by prompt Notice as required by this Section 19(e). The indemnifying party’s obligations as set out in this Section 19(e) are limited by and to the extent they are a result of the party requesting indemnification’s gross negligence or willful misconduct.

Indemnified Party’s Obligations. A party seeking indemnification (i) shall give the other party prompt written notice of any Applied Third Party Claim or Supplier Third Party Claim, as applicable (each a "Third Party Claim"), that may give rise to any indemnification obligation under this Article 22, together with the estimated amount (if reasonably available) of such Third Party Claim, and (ii) shall provide reasonable cooperation and assistance to the indemnifying party in the defense and/or settlement of such claim, including, to the extent reasonably requested, the retention, and the provision to the indemnifying party (which shall pay the reasonable costs incurred in providing or collecting such records) of records and information reasonably relevant to such Third Party Claim. Failure to give such notice or to provide the cooperation provided for herein shall not affect the indemnification obligations hereunder in the absence of material prejudice to the indemnifying party. Except for the foregoing obligation to pay the reasonable costs incurred in providing or collecting records, the indemnifying party shall not be liable under this Article 22 for any internal personnel costs or expenses (including opportunity costs) suffered or incurred by the indemnified party in connection with a Third Party Claim.
Indemnified Party’s Obligations. In connection with any indemnity provided under this Agreement, the indemnified Party shall (a) provide reasonable cooperation and assistance to the indemnifying Party; and (b) provide prompt written notice of any claim that would trigger an indemnity obligation. The indemnifying Party will not be responsible for any obligation under any settlement agreement entered into without the indemnifying Party's consent.

  • Indemnification; Third Party Claims (a) The Special Servicer and any Affiliate, director, officer, employee, member, manager or agent of the Special Servicer (the “Special Servicer Indemnified Parties”) shall be indemnified and held harmless out of the proceeds of the Mortgage Loans, any Serviced Companion Loans and any B Notes (including REO Loans), against any and all claims, losses, penalties, fines, forfeitures, legal fees and related costs, judgments and any other costs, liabilities, fees and expenses (“Special Servicer Losses”) incurred in connection with any legal action relating to (i) this Agreement, any Mortgage Loans, any Serviced Companion Loans, any B Notes, any REO Property or the Certificates or any exercise of any right under this Agreement reasonably requiring the use of counsel or the incurring of expenses and (ii) any action properly taken by the Special Servicer in accordance with this Agreement based on an instruction delivered in writing to the Special Servicer by the Trustee, the Controlling Class Representative or the Master Servicer pursuant to any provision of this Agreement, and the Special Servicer and each of its Affiliates, directors, officers, employees, members, managers and agents shall be entitled to indemnification from the Trust for any loss, liability or expense (including attorneys’ fees) incurred in connection with the provision by the Special Servicer of any information included by the Special Servicer in the report required to be provided by the Special Servicer pursuant to this Agreement, in each case other than any loss, liability or expense: (A) specifically required to be borne by the party seeking indemnification, without right of reimbursement pursuant to the terms of this Agreement; (B) which constitutes a Servicing Advance that is otherwise reimbursable under this Agreement; (C) incurred in connection with any legal action or claim against the party seeking indemnification, resulting from any breach on the part of that party of a representation or warranty made in this Agreement; or (D) incurred in connection with any legal action or claim against the party seeking indemnification, resulting from any willful misfeasance, bad faith or negligence on the part of that party in the performance of its obligations or duties under this Agreement or negligent disregard of such obligations or duties. Except as provided in the following sentence, indemnification for Special Servicer Losses described in the preceding paragraph (including in the case of such Special Servicer Losses that relate primarily to the administration of the Trust, to any REMIC Pool or to any determination respecting the amount, payment or avoidance of any tax under the REMIC Provisions or the actual payment of any REMIC tax or expense) shall be paid out of collections on, and other proceeds of, the Mortgage Loans as a whole but not out of collections on, or other proceeds of, any Serviced Companion Loan or any B Note. In the case of any such Special Servicer Losses that do not relate primarily to the administration of the Trust, to any REMIC Pool or to any determination respecting the amount, payment or avoidance of any tax under the REMIC Provisions or the actual payment of any REMIC tax or expense:

  • LIABILITIES AND INDEMNIFICATION SMC shall be liable for any actual losses, claims, damages or expenses (including any reasonable counsel fees and expenses) resulting from SMC's bad faith, willful misfeasance, reckless disregard of its obligations and duties, negligence or failure to properly perform any of its responsibilities or duties under this agreement.
