INDEMNITY BY AGENT. Each Agent undertakes to indemnify on a several basis the Issuer, the Manager and each of their respective directors, officers, employees and controlling persons against all losses, liabilities, costs, claims, actions, damages, expenses or demands which any of them may incur or which may be made against any of them as a result of (but not including any consequential, indirect, punitive or special damages to the extent resulting from) its wilful default, negligence or fraud or that of its directors, officers, employees or controlling persons or any of them, or breach by it of the terms of this Agreement. -------------------------------------------------------------------------------- 10. Agent indemnifies and holds Owner and Owner's agents, officers and employees harmless of and from any and all claims, losses, damages, liabilities and expenses (including, but not limited to, reasonable attorney's fees) resulting from any of its actions arising out of its obligations hereunder; provided, however, that Agent's indemnification shall not apply with respect to any criminal act, negligence or willful misconduct of Owner or Owner's agents, officers or employees.
