Common use of Indemnity by Licensee Clause in Contracts

Indemnity by Licensee. 8.1 Subject to the provisions of Sections 5.2, LICENSEE shall indemnify, defend, and hold harmless LICENSOR, its officers, directors, employees and agents, from and against any and all claims, suits, losses damages, costs, fees, and expenses (including attorneys' fees) resulting from or arising out of the use of the Intellectual Property by LICENSEE, its customers, agents, or employees, or the negligence or misconduct of LICENSEE in performance of its obligations under this Agreement.
