8.3 Affymetrix shall indemnify and hold the Company and its directors, officers and employees (the "Company Indemnitees") harmless from and against all losses, CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY BRACKETS, HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24B-2 OF THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED. liabilities, damages and expenses (including reasonable attorneys' fees and costs) resulting from all claims, demands, actions and other proceedings by any unaffiliated third party to the extent arising from the breach of any representation, warranty or covenant of Affymetrix under this Agreement, except in each case to the extent caused by the breach of any representation, warranty or covenant of the Company under this Agreement or the gross negligence or willful misconduct of the Company Indemnitees.

CP disclaims all responsibility for the conduct of local emergency response centers and the national emergency calling center. CP relies upon third parties to assist us in routing 911 Dialing calls to local emergency response centers and to a national emergency calling center. CP disclaims any and all liability or responsibility in the event such third party data used to route calls is incorrect or yields an erroneous result. CP disclaims all liability for any VoIP Service outage and/or inability to dial 911 using your VoIP Service or to access emergency service personnel due to the 911 dialing characteristics and limitations set forth in this Agreement. You agree to defend, indemnify, and hold harmless CP, its officers, directors, employees, affiliates and agents and any other service provider who furnishes services to you in connection with VoIP Service, from any and all claims, losses, damages, fines, penalties, costs and expenses (including, without limitation, reasonable attorneys' fees) by, or on behalf of, you or any third party or user of VoIP Service relating to the failure or outage of VoIP Service, including those related to 911 dialing.

The Why Buy Club is only responsible for loss or damage suffered by the “WHY BUY” member or third parties, in connection with the charter of this vessel where such loss or damage was caused intentionally or through gross negligence on its part. In all other cases the Why Buy Club is not responsible. “WHY BUY” members or guests shall hold the Why Buy Club, the Victoria Sailing School, Cherry Creek Marina, Xxxxxxxxx Xxxxxx, State of Colorado, Lake Xxxxxx Xxxxxx, Larimer County, Xxxxxx Xxxxxx, Summit County & Denver Water Board harmless against all such claims.

In no event, either MSO or the employees thereof shall be liable to the LCO or to any subscribers of LCO or any other person for any indirect, special, incidental or consequential damage arising out of or in connection with the disruption, interruption or discontinuance of the Cable TV Service or for any inconvenience, disappointment or due to deprival of any programme or information or for any indirect or consequential loss or damage, whether or not attributable to any act or omission of the MSO or of any of its employees or otherwise.
II. LCO shall indemnify the MSO from all cost, expense, liabilities and damages (including reasonable attorneys’ fees and related costs) arising out of the breach of any representation, warranty or undertaking made by the LCO or any other obligation of the LCO arising out of this Agreement or by reason of any claim, action or proceedings from any third party or from subscribers for any inconvenience, loss or annoyance caused to them due to any default of the LCO or due to termination of the Agreement or suspension of the Cable TV Service due to LCO’s breach.
III. The LCO hereby indemnifies the MSO, its employees, agents and associates for any and all acts of infringement of copyrights of the legal copyright holders or for any unlawful and unauthorized activity that it may be indulging in, whether on its own or along with any other entity.
