Common use of Indemnity by the Issuer Clause in Contracts

Indemnity by the Issuer. The Issuer undertakes to each Dealer that if that Dealer or any Indemnified Person incurs any Loss arising out of, in connection with or based on: 6.1.1 Misrepresentation: any inaccuracy or alleged inaccuracy of any representation and warranty by the Issuer in this Agreement or in any Relevant Agreement (on the date of this Agreement or, as the case may be, of any Relevant Agreement or on any other date when it is deemed to be repeated) or otherwise made by the Issuer in respect of any Tranche; or

Indemnity by the Issuer. The Issuer undertakes to each Dealer that if that Dealer or any Indemnified Person of that Dealer's Related Parties incurs any Loss arising out of, in connection with or based on: 6.1.1 Misrepresentation: any inaccuracy or alleged material inaccuracy of any representation and warranty by the Issuer in this Agreement or in any Relevant Agreement (on the date of this Agreement or, as the case may be, of any Relevant Agreement or on any other date when it is deemed to be repeated) or otherwise made by the Issuer in respect of any Tranche; or;
