Common use of Indemnity Procedures Clause in Contracts

Indemnity Procedures. (a) Canada shall use all reasonable efforts to notify the Band of a claim or possible claim for indemnification hereunder within a reasonable time following the date that facts, events or circumstances exist and are known to Canada of the basis of a claim in respect of which indemnification hereunder exists or is likely to arise, provided that the Band shall not be entitled to avoid liability for indemnification by reason of Canada's failure to give timely notice except to the extent that the Band can prove it has been actually prejudiced thereby.
