Independence of Nominees for Election as Directors at the Annual Meeting. The persons nominated by the Board for election as Directors at any annual meeting of the shareholders of the Corporation shall include a sufficient number of persons who have been, on the date of their nomination, determined by the Board to be eligible to be classified as independent directors such that if all such nominees are elected, the majority of all Directors holding office would be independent directors.

Independence of Nominees. Intervoice acknowledges and confirms, based upon the information set forth in the Bxxxxxxxxxx Proxy with respect to each of the Bxxxxxxxxxx Nominees and in the completed director questionnaires provided by the Bxxxxxxxxxx Nominees to Intervoice that (x) each of the Brandenburg Nominees, other than Dxxxx Xxxxxxxxxxx, shall be deemed “independent directors” under Nasdaq Stock Market Rule 4200(a)15 and the independence standards applicable to Intervoice under paragraph (a)(1) of Item 407 of Regulation S-K under the Exchange Act; and (y) effective December 1, 2007, Dxxxx Xxxxxxxxxxx, shall be deemed an “independent director” under Nasdaq Stock Market Rule 4200(a)15 and the independence standards applicable to Intervoice under paragraph (a)(1) of Item 407 of Regulation S-K under the Exchange Act.

  • Independence of Parties The Servicer shall have the status of, and act as, an independent contractor. Nothing herein contained shall be construed to create a partnership or joint venture or any similar relationship between the Manager and the Servicer.
