Independent Certified Public Accountant Statement. Within sixty (60) days following the end of each Contract Year of this Concession Agreement, Concessionaire, at its own expense, shall submit an audited statement of the yearly Gross Revenues for its Airport operations and such other reasonable financial and statistical reports as the SFRAA may require by written notice to Concessionaire. Each statement must be prepared by an independent Certified Public Accountant who is a member in good standing with the American Institute of Certified Public Accountants. The audited statement of Gross Revenues will show all Gross Revenues by category by month for the Contract Year. If, through such audited statement, it is established that additional fees are due, Concessionaire shall pay such additional fees to the SFRAA not later than fifteen (15) days after submission of such audited statement. Failure to pay such additional fees on time will be deemed a default under this Concession Agreement. If through such audited statement(s) it is established that Concessionaire has overpaid the SFRAA, the SFRAA will reimburse Concessionaire. It is agreed that said CPA shall not be in any way a member of Concessionaire’s staff or firm or otherwise fail to meet the AICPA’s independence standards.

  • Accounting Standards The Subrecipient agrees to comply with 2 CFR 200 and agrees to adhere to the accounting principles and procedures required therein, utilize adequate internal controls, and maintain necessary source documentation for all costs incurred.

  • Public Access Grantor acknowledges and agrees that the general public shall have the regular and substantial opportunity to view the Façade from the streets, sidewalks and other property near the Buildings. Grantor shall have no obligation under this Agreement to allow the general public to view the interior of the Buildings.

  • OFFICER AND CHIEF FINANCIAL OFFICER CERTIFICATION Pursuant to Section 6(b) and 6(c) of the Agreement, the undersigned Chief Executive Officer and Chief Fiscal Officer of the Recipient, as both are designated in Appendix B of the Agreement, hereby request the Director to disburse financial assistance moneys made available to Project in Appendix C of the Agreement (inclusive of any amendment thereto) to the payee as identified below in the amount so indicated which amount equals the product of the Disbursement Ratio and the dollar value of the attached cost documentation which was properly billed to the Recipient in exclusive connection with the performance of the Project, or, in the case of a final disbursement request, the amount entered at Line V of this Appendix E. The undersigned further certify that:

  • CHIEF EXECUTIVE OFFICER AND CHIEF FINANCIAL OFFICER CERTIFICATION The undersigned Chief Executive Officer and Chief Fiscal Officer of the Recipient, as both are designated in Appendix B of the Agreement, hereby request the Director to disburse financial assistance moneys made available to Project in Appendix C of the Agreement (inclusive of any amendment thereto) to the payee as identified below in the amount so indicated which amount equals the product of the Disbursement Ratio and the dollar value of the attached cost documentation which was properly billed to the Recipient in exclusive connection with the performance of the Project. The undersigned further certify that:

  • DIRECTORS’ STATEMENT After having considered all aspects of the Agreement, the Board is of the opinion that the Agreement is in the best interests of the Company.

  • Responsibility for Following Standards Each Party recognizes a responsibility to follow the standards that may be agreed to between the Parties and to employ characteristics and methods of operation that will not interfere with or impair the service, network or facilities of the other Party or any third parties connected with or involved directly in the network or facilities of the other.

  • Professional Ethics Any allegation, or any investigation or proceeding based on any allegation of violating professional ethics or standards, or engaging in illegal, immoral or other misconduct (of any nature or degree), relating to his or her practice; or

  • MOST FAVORED PUBLIC ENTITY If the Contractor’s prices decline, or should the Contractor at any time during the term of this Contract provide the same goods or services under similar quantity and delivery conditions to the State of California or any county, municipality, or district of the State at prices below those set forth in this Contract, then such lower prices shall be immediately extended to the County.
