In making its investment decision to purchase the Note and Warrant, the Purchaser is not relying on any oral or written representations or assurances from the Company or any other person or any representation of the Company or any other person other than as set forth in this Agreement, or on any information other than contained in the Company's public filings required under the Act and the Exchange Act. The Purchaser is not subscribing for the Note and Warrant as a result of or subsequent to any advertisement, article, notice or other communication published in any newspaper, magazine or similar media or broadcast over television or radio or presented at any seminar.
