Common use of Information and Sophistication Clause in Contracts

Information and Sophistication. Holder hereby: (i) acknowledges that it has received all the information it has requested from the Company and it considers necessary or appropriate for deciding whether to acquire this Warrant and the Exercise Shares, (ii) represents that it has had an opportunity to ask questions and receive answers from the Company regarding the financial condition of the Company and the risks associated with the acquisition of this Warrant and the Exercise Shares and (iii) further represents that it has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risk of this investment.

Information and Sophistication. The Holder hereby: (i) acknowledges that it the Holder has received all the information it he has requested from the Company and it he considers necessary or appropriate for deciding whether to acquire this Warrant and the Exercise Shares, (ii) represents that it the Holder has had an opportunity to ask questions and receive answers from the Company regarding the financial condition of the Company and the risks associated with the acquisition of this Warrant and the Exercise Shares and (iii) further represents that it the Holder has such knowledge and experience in financial and business matters that it the Holder is capable of evaluating the merits and risk of this investment.
