Common use of Information Designated by Contractor as Confidential Clause in Contracts

Information Designated by Contractor as Confidential. Any disclosure of those materials, documents, data, and other information which CONTRACTOR has designated in writing as proprietary and confidential shall be subject to the provisions of Mississippi Code Annotated §§ 25-61-9 and 79-23-1. As provided in the contract, the personal or professional services to be provided, the price to be paid, and the term of the contract shall not be deemed to be a trade secret, or confidential commercial or financial information. Any liability resulting from the wrongful disclosure of confidential information on the part of CONTRACTOR or its subCONTRACTOR shall rest with CONTRACTOR. Disclosure of any confidential information by CONTRACTOR or its subCONTRACTOR without the express written approval of the Agency shall result in the immediate termination of this agreement.
