Common use of Information Technology Provisions Clause in Contracts

Information Technology Provisions. The parties further agree to the following terms, as applicable, for any Acquisition of information technology or telecommunication products or services: A. Termination of Maintenance and Support Services Customer may terminate maintenance or support services without an adjustment charge, provided any of the following circumstances occur: i. Customer removes the product for which the services are provided, from productive use or; ii. The location at which the services are provided is no longer controlled by Customer (for example, because of statutory or regulatory changes or the sale or closing of a facility). If Customer chooses to renew maintenance or support after maintenance has lapsed, Customer may choose to pay the additional fee, if any, associated with renewing a license after such maintenance or support has lapsed, or to purchase a new license. Any amount paid to Vendor in the form of prepaid fees that are unused when services under the Contract or purchase order are terminated shall be refunded to Customer.
