Offshore Services. No offshore services are provided for under the Contract. State data shall not be used or accessed internationally for troubleshooting or any other use not specifically provided for herein without the prior written permission, which may be withheld in the State’s sole discretion, from the appropriate authorized representative of the State. Notwithstanding the above, back office administrative functions of the Supplier may be located offshore and the follow-the-sun support model may be used by the Supplier to the extent allowed by law applicable to any Customer data being accessed or used.
Offshore Services. You agree that Hitachi may subcontract the performance of Services under this Agreement to employees and other resources outside the European Economic Area on a remote basis.
Offshore Services. The Subrecipient affirms to have read and understands Executive Order 2019-12D and shall abide by those requirements in the performance of this Agreement and shall perform no services required under this Agreement outside of the United States. a. The Subrecipient must complete the attached Standard Affirmation & Disclosure Form (Addendum E) to comply with Executive Order 2019-12D, affirming no services of the Subrecipient or its subcontractors under this Agreement will be performed outside the United States.
b. The Subrecipient also affirms, understands, and agrees to immediately notify the Department of any change or shift in the location(s) of services performed by the Subrecipient or its subcontractors under this Agreement, and no services shall be changed or shifted to locations(s) that are outside of the United States.
c. It is understood that services provided under this Agreement are performed outside the Subrecipient or subcontractor’s principal location of business, including natural environments and the family home. In lieu of entering the Address, City, State and Zip for services provided in a natural environment, Subrecipients and their subcontracts may enter “EI services provided in natural environments in [Enter County Name]”.
Offshore Services. Agent or Agency represents that no subcontractor hereunder performs any Medicare-related work in any country that is not one of the fifty United States or one of the United States Territories (an “Offshore Subcontract”). In the event that Agent or Agency desires to enter into an Offshore Subcontract, Agent or Agency must get Medica’s prior written consent, which may be conditioned upon the consent of Medica’s regulators and Medica’s review of applicable law. If Medica gives consent to Agent or Agency to provide offshore services, Medica still reserves the right to later revoke that consent at Medica’s sole discretion, or if Medica is compelled to do so due to any regulatory instruction or legal requirement. Agent or Agency shall comply with all CMS requirements and instructions applicable to offshore subcontracting including, but not limited to, completing an “Offshore Subcontractor Information and Attestation Form.”
Offshore Services. For purposes of this Exhibit, the term “offshore” shall mean any country or territory that is not the United States or one of the United States territories (i.e., American Samoa, Guam, Northern Marianas, Puerto Rico and the Virgin Islands). Provider represents and warrants that it does not and will not use offshore subcontractors, or permit any Members’ protected health information or other personal information to be accessible to any offshore employees, without prior written notice to Company and Company’s prior written approval of such offshore subcontractors and/or offshore use of Member’s PHI or personal information. Prior to Company’s written approval, Company may review and approve Provider’s or its subcontractor’s policies and procedures applicable to such offshore use. In addition to the above, any offshore services shall be subject to all of the standards, terms and conditions set forth in this Amendment and the Agreement the same as if the services were provided within the U.S. This includes, but is not limited to, timely access to records created and/or related to such offshore services, such as customer service call records.
Offshore Services. You acknowledge and agree that not all investments in the Funds can be made available outside Hong Kong. Any particular offer of the Funds/Units may not have been and may not be registered with the relevant regulator in accordance with relevant securities laws and regulations and may therefore not be capable of being sold or publicly offered outside Hong Kong. Manulife and any Manulife Group Company involved in any such promotion may not maintain any licence, authorisation or registration outside Hong Kong, and shall not actively conduct any such promotion. Any issue of Units will not take effect until a valid subscription is received in accordance with the Fund Offering Documents in Hong Kong.

No State Cabinet Agency, Board or Commission will enter into any agreement to purchase services provided outside of the United States or that allows State data to be sent, take, accessed, tested, maintained, backed-up, stored, or made available remotely outside (located) of the United States, unless a duly signed waiver from the State has been attained. Notwithstanding any other terms of this Agreement, the State reserves the right to recover any funds paid for services the Subrecipient, or their Subcontractor, performs outside of the United States for which it did not receive a waiver. The State does not waiver any other rights or remedies provided to the State in the Agreement. Further, no State agency, board, commission, State educational institution, or pension fund will make any purchase from or investment in any Russian institution or company. Notwithstanding any other terms of this Agreement, the State reserves the right to recover any funds paid to the Subrecipient for purchases or investments in a Russian institution or company in violation of this paragraph. The provisions of this paragraph will expire when the applicable Executive Order (2022-02D) is no longer effective. The Subrecipient must complete the attached Contractor/Subcontractor Affirmation and Disclosure Form (2019-12D & 2022-02D) (Addendum C) affirming the Subrecipient understands and will meet the requirements of the above prohibition. During the performance of this Agreement, if the Subrecipient changes the location(s) disclosed on the Affirmation and Disclosure Form, Subrecipient must complete and submit a revised Affirmation and Disclosure Form reflecting such changes. It is understood that services provided under this Agreement are performed in the community and or county of the Subrecipient, including natural environments and the family home. In lieu of entering the Address, City, State and Zip for services provided in a natural environment, Subrecipients and their subcontracts may enter “EI services provided in natural environments in [Enter County Name]”.
