Initial Closing Date Conditions Precedent. The obligations of the applicable Lenders to make the Loans to be made on the Initial Closing Date are subject to receipt by Agent, on or prior to the Initial Closing Date, of each item listed in Schedule 3.01, each in form and substance satisfactory to Agent and each Lender, and with sufficient copies for, Agent and each Lender.
