Common use of Initial Term and Renewal Term Clause in Contracts

Initial Term and Renewal Term. 4.1.1 This Agreement is concluded between the Parties for a period of one (1) year starting from the Effective Date (the "Initial Term"), and shall continue indefinitely thereafter (the "Renewal Term") (a) unless either Party has given to the other Party a written notice of termination not less than three (3) months before the expiry of the Initial Term, or (b) until terminated by either Party in accordance with Clauses 3.5.2, 4.1.2 or 4.2. For the purposes of this Agreement the Initial Term and any applicable Renewal Term shall collectively be referred to as the "Term". Provisions of this Agreement shall apply to both Initial Term and the Renewal Term save where the context requires otherwise. 4 DOBA TRVANIA A UKONČENIE ZMLUVY 4.1. Počiatočné obdobie a Obnovené obdobie 4.1.1. Táto zmluva je Stranami uzavretá na dobu jeden (1) rok. počnúc Dňom účinnosti zmluvy („Počiatočné obdobie“), a následne bude pokračovať na neurčitú dobu (ďalej ako „Obnovené obdobie“) (a) pokiaľ ktorákoľvek Strana nedoručí druhej Strane písomnú výpoveď najneskôr tri (3) mesiace pred ukončením Počiatočného obdobia, alebo (b) pokiaľ nebude Zmluva vypovedaná ktoroukoľvek stranou podľa článkov 3.5.2, 4.1.2 alebo 4.2. Pre účely tejto zmluvy Počiatočné obdobie a akékoľvek príslušné Obnovené obdobie sa bude spoločne označovať ako „Doba trvania zmluvy”. Ustanovenia tejto zmluvy sa použijú v Pôvodnom období aj v Obnovenom období, pokiaľ z kontextu neplynie niečo iné.

Počas Obnoveného obdobia môže ktorákoľvek Strana vypovedať Zmluvu kedykoľvek a z akéhokoľvek dôvodu doručením písomnej výpovede druhej Strane s výpovednou dobou najmenej tri (3) mesiace.
